Benefits at Termination of Employment. Executive will have, upon termination of his employment, the right to receive any benefits payable under the Company’s employee benefit plans, programs and policies that Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies (other than severance benefits), independent of Executive’s rights under this Employment Agreement.
Benefits at Termination of Employment. Executive upon Executive’s termination of employment shall have the right to receive any benefits payable under ICE’s employee benefit plans, programs and policies which Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies independent of Executive’s rights under this Employment Agreement; however, if a payment is made to Executive under § 4.2(a) or § 4.2(b), such payment shall be in lieu of any severance pay under any severance pay plan, program or policy.

Executive upon Executive’s termination of employment shall have the right to receive any benefits payable under TurboChef’s employee benefit plans, programs and policies which Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies (other than severance benefits) independent of Executive’s rights under this Employment Agreement in addition to any base salary under § 3(a) which accrued as of the termination date and are expressly payable under this § 4 without regard to the reason for such termination of employment.

Executive, upon Executive’s termination of employment, shall have the right to receive any benefits payable under Forge’s employee benefit plans, programs and policies which Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies independent of Executive’s rights under this Employment Agreement; however, if a payment is made to Executive under § 4.2(a) or § 4.2(b), such payment shall be in lieu of any severance pay under any severance pay plan, program or policy.
Benefits at Termination of Employment. Executive shall not be entitled, by reason of his employment with Employer or by reason of any termination of such employment, however arising, to any remuneration, compensation or benefits other than those expressly provided for in this Section 4. However, any termination of Executive arising out of Executive’s death, or Disability does not affect Executive’s right to collect disability or life insurance benefits that Executive may remain entitled to receive at that time in accordance with the terms of the applicable benefit plan, program or policy.

Executive upon Executive’s termination of employment shall have the right to receive any benefits payable under INTCX’s employee benefit plans, programs and policies which Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies independent of Executive’s rights under this Employment Agreement; however, if a payment is made to Executive under § 4.2(a) or § 4.2(b), such payment shall be in lieu of any severance pay under any severance pay plan, program or policy. Specifically, and without limiting the foregoing, Executive and Continental Power Exchange, Inc., or “CPEX”, shall have all rights to which they are entitled under the Contribution and Asset Transfer Agreement, dated May 11, 2000, by and among IntercontinentalExchange, LLC (the predecessor of INTCX), CPEX and Executive (the “Asset Transfer Agreement”), including Article VI thereof, independent of Executive’s rights under this Employment Agreement.

Upon termination of employment Executive shall have the right to receive any benefits payable under TurboChef’s employee benefit plans, programs and policies which Executive otherwise has a nonforfeitable right to receive under the terms of such plans, programs and policies (other than severance benefits) independent of Executive’s rights under this Employment Agreement in addition to any base salary under § 3(a) which accrued as of the termination date and are expressly payable under this § 4 without regard to the reason for such termination of employment. This Employment Agreement shall terminate, and all obligations of TurboChef not already accrued under this Employment Agreement for the benefit of Executive shall end upon cessation of Executive’s employment by TurboChef (or any parent or subsidiary) for any or no reason and upon death, except to the extent such obligation is specifically provided for continuation or for Executive’s benefit after termination of employment under this Employment Agreement.
