Binding Effect; Amendments. This Agreement shall bind, and shall inure to the benefit of, the parties and their respective successors and assigns. The Foundation shall have the power, acting alone, to amend this Agreement in any manner required for the sole purpose of ensuring that the Foundation qualifies and continues to qualify as a tax-exempt organization described in Section 501(c)(3) of the Code, and that the Funds qualify as "component parts" of the Foundation as a "community trust" within the meaning of Treasury Regulation Section 1.170A-9(e)(10)(14).
Binding Effect; Amendments. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective legal representatives, successors and assigns. No modification, amendment or waiver of any provision of, or consent or approval required by, this Agreement, nor any consent to or approval of any departure herefrom, shall be effective unless it is in writing and signed by the party against whom enforcement of any such modification, amendment, waiver, consent or approval is sought.
Binding Effect; Amendments. Executive's undertakings hereunder will be binding regardless of (i) the duration of his employment with Titan; or (ii) the reasons for or manner of termination of his employment. This Agreement will bind and inure to the benefit of the heirs, personal representatives, successors and assigns of the Parties, will supersede any prior understanding between the Parties relating to the same subject matter and may be modified and varied only in writing signed by the Parties hereto.
Binding Effect; Amendments. Upon signature, this Agreement is binding on and shall inure to the benefit of the respective trustees, administrators, successors and assigns of the parties. Any reference to the parties in this Agreement by name or abbreviation shall also be a reference to any successors in interest of that party. This Agreement supersedes all prior or contemporaneous communications and negotiations, both oral and written and constitutes the entire agreement between the parties relating to the Project set out above. No amendment shall be effective except in writing signed by both parties.
Binding Effect; Amendments. The covenants, agreements, and rights contained in this Lease shall bind and inure to the respective heirs, personal representatives, successors and assigns of the Landlord and the Tenant. This Lease constitutes the entire, full and complete understanding and agreement between the Landlord and the Tenant, and all representations, statements, warranties, covenants, promises or agreements previously made or given by either party to the other are expressly merged into this Lease and shall be null, void and without legal effect. Neither party, nor any agent of either party, has any authority to alter, amend or modify any of the terms of this Lease, unless the amendment is in writing and executed by all parties to this Lease with the same formality as this Lease.

This Xxxx of Sale shall be binding upon, inure to the benefit of, and be enforceable by, the parties hereto and their respective legal representatives, successors and permitted assigns. Neither this Xxxx of Sale, nor any term or provision hereof, may be amended, modified, superseded or cancelled except by an instrument in writing signed by each party hereto.
Binding Effect; Amendments. This Consent shall be binding upon and benefit GE, Assignor, Security Agent and the Lenders and their respective successors, transferees and permitted assigns. GE agrees to confirm such continuing obligation in writing upon the reasonable request of Assignor, Security Agent, the Lenders or any of their respective successors, transferees or permitted assigns. No termination, amendment, variation or waiver of any provisions of this Consent shall be effective unless in writing and signed by GE, Security Agent, and Assignor; provided that all rights and obligations of Security Agent and the Lenders hereunder shall terminate upon payment in full of the obligations of Assignor under the Security Agreement without the requirement for any such writing.

This Agreement will be binding upon, and inure to the benefit of the Company and Employee and their respective successors and assigns, heirs and personal representatives and estates, as the case may be. This Agreement may not be modified or amended except by an instrument in writing signed by Employee and a duly authorized representative of the Company.

No modification, amendment or waiver of any provision of, or consent or approval required by, this Bxxx of Sale, nor any consent to or approval of any departure herefrom, shall be effective unless it is in writing and signed by the party against whom enforcement of any such modification, amendment, waiver, consent or approval is sought.
Binding Effect; Amendments. This Agreement contains the final and entire agreement between the parties with respect to the subject matter hereof. The parties shall not be bound by any terms, conditions, statements, warranties or representations, oral or written, not herein contained. This Agreement may not be changed orally but only by an instrument in writing and signed by the party against whom enforcement of any waiver, change, modification or discharge is sought.
