Bring Down Release. As a further condition to the payments and benefits herein, Employee agrees, within twenty-one (21) days following the Termination Date, to execute and not revoke a release of claims in the form attached hereto as Exhibit A.
Bring Down Release. Effective as of the Separation Date, Executive waives any right or claim to reinstatement as an employee of the Company and each of its affiliates. Effective as of the Separation Date, Executive hereby confirms that Executive does not hold any position as an officer, director or employee with the Company or any of its affiliates. Upon or promptly following the Separation Date (and in any event within twenty-one (21) days following the Separation Date), Executive hereby agrees to execute an additional release in the same form as included in this Agreement (the “Bring-Down Release”). Executive hereby agrees that the Bring-Down Release will require Executive to acknowledge and agree that (subject to the Executive receiving all payments, benefits, and other remuneration the Executive is entitled to under the Employment Agreement, as modified by this Agreement) Executive has received all amounts owed for Executive’s regular and usual salary (including, but not limited to, any overtime, bonus, accrued vacation, commissions, or other wages), reimbursement of expenses, sick pay and usual benefits. Executive acknowledges that the Company’s obligation to provide benefits in Section 3(A) and (B) below is subject to Executive’s execution of the Bring-Down Release and non-revocation of the Bring-Down Release pursuant to any revocation rights afforded by applicable law.
Bring Down Release. Executive agrees to provide a “bring down” release in the form attached hereto as Schedule A and incorporated herein by this reference. This bring-down release will be signed by Executive on the Termination Date, except in the event of his death or disability prior to the Termination Date. Executive acknowledges that the money and benefits received and to be received by Executive by entering into this Agreement are beyond what Executive would receive if he did not enter into the Agreement and that they are provided by Company in exchange for the releases and agreements provided by Executive herein and in Schedule A.
Bring Down Release. As a condition to continuing to receive the Payments following the date on which the Service Continuation Period expires, the Executive shall execute and deliver to the Company a release in the form attached hereto as Exhibit A (the “Bring Down Release”) on the date upon which the Service Continuation Period expires or Executive will forfeit all remaining Payments.
Bring Down Release. As a condition to continuing to receive the payments provided for in Section 3 following the Retirement Date, Executive shall execute and deliver to the Company a release in the form attached hereto as Exhibit A (the “Bring Down Release”) on the Retirement Date or Executive will forfeit all remaining payments.
Bring Down Release. Employee agrees to extend (the “Extension”) his release and waiver of claims hereunder (and the related representations, acknowledgements, and covenants as set forth herein) effective as of his last day of employment with the Company (the “Bring-Down Release”), in each case, to include all claims not otherwise excluded from such release arising through and including his last day of employment. The Extension shall be effected by Employee re-executing (but not earlier than his last day of employment with the Company) the signature page to this Agreement where indicated (such date of re-execution, the “Bring-Down Release Effective Date”). The Company’s promises under this Agreement, including but not limited to its obligation to provide Employee with the benefits described in Section 2 of this Agreement will arise only after the Bring-Down Release Effective Date.
Bring Down Release. Subject to and conditioned upon the Company’s continued compliance with the terms of this Agreement, Executive agrees to extend (the “Extension”) Executive’s release and waiver of claims hereunder (and the related representations, acknowledgements, and covenants as set forth herein) effective as of the Last Day of Employment (the “Bring-Down Release”), in each case, to include all claims not otherwise excluded from such release arising through and including the Last Day of Employment. The Extension shall be effected by Executive’s re-executing (but not earlier than the Last Day of Employment) the signature page to this Agreement where indicated (such date of re-execution, the “Bring-Down Release Effective Date”).
Bring Down Release. Within 21 days following the Transition Date, the Executive agrees to enter into a general release of all claims that the Executive may have against the Company or persons affiliated with the Company as of such date, in a form mutually agreeable to the Company and the Executive. Such release must be returned, on or before the date specified by the Company in the prescribed form. If the Executive fails to return the release on or before the date specified by the Company, or if the Executive revokes the release, such action will be deemed a willful breach of his obligations under this this Agreement.
Bring Down Release. You agree to sign a bring down release on or after your Separation Date that contains the same terms as in Sections 5, 8, 9 and 10 above.
Bring Down Release. You hereby agree to re-execute this Release and confirm all terms and conditions thereof within forty-five (45) days of the Separation Date (the “Bring-Down Consideration Period”) by signing the second signature line hereto and providing such executed Release in the manner set forth below (the “Bring-Down Release”). You understand that you may execute the Bring-Down Release at any time within the Bring-Down Consideration Period (the “Bring-Down Acceptance Date”). You may revoke the Bring-Down Release after signing it by delivering a written notice of your decision to revoke within seven (7) calendar days after the Bring-Down Release Acceptance Date (the “Bring-Down Revocation Period”). You also understand that your written revocation must be sent to Xxxxxxx Xxxxxxxx at Xxxxxxx.Xxxxxxxx@Xxxxxxxxx.xxx and that this Bring-Down Release and your right to receive the Severance Benefits and other benefits outlined in the Agreement conditioned thereon shall be forfeited if you revoke your signature within the seven (7) calendar day Bring-Down Revocation Period. You acknowledge and agree that this Bring-Down Release shall become effective on the first day after the seven (7) calendar day Bring-Down Revocation Period (the “Bring-Down Release Effective Date”).
