BSC 401(k). At the request of Xxxxx prior to the Effective Time, BSC shall take all steps necessary to terminate the BSC 401(k) Plan (“BSC 401(k)”) effective as of the Termination Date. For purposes hereof, the term “Termination Date” shall mean a date established by Xxxxx that is prior to the Effective Time, but which shall in no event precede the Effective Time by more than one business day. Before the BSC 401(k) is frozen or terminated as the case may be, the parties hereto shall cause an employer nonelective contribution to be made to the BSC 401(k) for the 2002 plan year and for the short plan year beginning January 1, 2003 and ending on the Termination Date or the date the BSC 401(k) is frozen as the case may be (“Relevant Period”). For the Relevant Period that is the 2002 plan year, such employer nonelective contribution shall be equal to $117,000; for the Relevant Period that is the short plan year beginning January 1, 2003, such employer nonelective contribution shall be equal to $8,500 per month for each full or partial month through the month that contains the Closing Date. Xxxxx shall amend the Xxxxx Bancorp, Inc. & Affiliates 401(k) and Profit Sharing Plan (the “Xxxxx 401(k)”) to provide a special entry date for all former BSC, Subsidiary and the Affiliates’ employees employed by Xxxxx, the Surviving Subsidiary or other Xxxxx affiliates, which special entry date shall coincide with the Effective Time. Furthermore, Xxxxx shall amend the Xxxxx 401(k) to the extent necessary to permit all former BSC, Subsidiary and the Affiliates’ employees employed by Xxxxx, the Surviving Subsidiary or other Xxxxx affiliates to defer as much of their compensation received in the year in which the Effective Time occurs to the Xxxxx 401(k) as they would have been able to defer to the BSC 401(k) but for the termination of the BSC 401(k).

Borrower will (1) at all times make prompt payment of contributions required to meet the minimum funding standards set forth in Sections 302 through 305 of the Pension Reform Act with respect to each of its Plans; (2) promptly, after the filing thereof, furnish to Agent copies of each annual report required to be filed pursuant to Section 103 of the Pension Reform Act in connection with each Plan for each Plan Year, including any certified financial statements or actuarial statements required pursuant to said Section 103; (3) notify Agent immediately of any fact, including, but not limited to, any Reportable Event arising in connection with any Plan which might constitute grounds for termination thereof by the Pension Benefit Guaranty Corporation or for the appointment by the appropriate United States District Court of a Trustee to administer the Plan; and (4) notify Agent of any “Prohibited Transaction” as that term is defined in Section 406 of the Pension Reform Act. Borrower will not (a) engage in any Prohibited Transaction or (b) terminate any such Plan in a manner which could result in the imposition of a Lien on the Property of Borrower pursuant to Section 4068 of the Pension Reform Act.

  • Welfare, Pension and Incentive Benefit Plans During the Employment Period, the Executive (and his eligible spouse and dependents) shall be entitled to participate in all the welfare benefit plans and programs maintained by the Company from time to time for the benefit of its senior executives including, without limitation, all medical, hospitalization, dental, disability, accidental death and dismemberment and travel accident insurance plans and programs. In addition, during the Employment Period, the Executive shall be eligible to participate in all pension, retirement, savings and other employee benefit plans and programs maintained from time to time by the Company for the benefit of its senior executives.

  • Participation in Benefit Plans During the Term hereof, Executive shall be entitled to participate in any group insurance, hospitalization, medical, dental, health, accident, disability, or similar plan or program of the Company now existing or established hereafter to the extent that he is eligible under the general provisions thereof. The Company may, in its sole discretion and from time to time, amend, eliminate, or establish additional benefit programs as it deems appropriate. Executive shall also participate in all standard fringe benefits offered by the Company to its salaried executives.
