Buyer Works Sample Clauses

Buyer Works. (a) Subject to the licenses granted under this Section 6.1, Buyer retains all right, title and interest in and to Buyer Works, including all domestic and foreign intellectual property rights in such Buyer Works and all modifications, enhancements and derivative works thereof. Supplier shall not attempt to assert, and shall preclude its Personnel and Affiliates from attempting to assert, any ownership interest in Buyer Works. To the extent that Buyer provides Supplier with Buyer Works to use to perform Services hereunder, Buyer hereby grants Supplier the right to use such Buyer Works solely to the extent necessary to perform such Services.

Buyer Works. Buyer shall be responsible for performing (or arranging with Other Contractors to perform) the Buyer Works in accordance with (i) the Programme, and (ii) the Specifications for the Civil and Electrical Works defined in the Part A of the Agreement. The Buyer Works comprise all necessary work with respect to the construction of the Wind Farm with the exception of the Services and the Seller’s obligations pursuant to the Part A of the Agreement: (a) selecting WTG(s) sites or related equipment to operate the WTG(s) and the transformers, (b) designing and executing the Civil Works and the Electrical Works, including in particular the preparation of the Site, the access roads to the Site, the internal Site roads and the platforms for the erection of the Equipment and the design and execution of the WTGs foundations all in accordance with the Specifications for the Civil and Electrical Works, (c) selecting and supervising engineers or other professionals for the design and construction of the Wind Farm; (d) complying with any governmental requirements, the Site Leases and any requirements of the owner(s) of the Site necessary to construct and operate the Wind Farm and to ensure the adequate physical access to the Site; (e) unloading from the carrying trucks and installing the WTG foundations rings; (f) confirming the suitability of the conditions of the soil underlying the Equipment;

  • Seller’s Deliverables At the Closing, Seller shall deliver to Buyer:

  • Acquired Assets 11 Upon the terms and subject to the conditions set forth in this Agree- ment, at the Closing Seller shall sell, assign, transfer, convey and deliver to Buyer free and clear of all Liens, and Buyer shall purchase, acquire and take assignment and delivery of, all right, title and interest of Seller in and to the Acquired Assets, including the following:

  • Purchased Assets Subject to the terms and conditions of this Agreement, at the Closing, each Seller shall sell, convey, assign, transfer and deliver to the Buyer, and the Buyer shall purchase, free and clear of all Encumbrances, all right, title and interest of such Seller in and to the following Assets (collectively, the “Purchased Assets”):

  • Seller’s Closing Deliverables At the Closing, Seller shall deliver or cause to be delivered to Purchaser, at Seller's expense, each of the following items:

  • Transferred Assets (a) As of the Effective Time (as defined in Section 2.1) and upon the terms and conditions set forth herein, Seller will sell, assign, transfer, convey and deliver to Purchaser, and Purchaser will purchase from Seller, all of the transferable rights, title and interests of Seller in the following assets associated with the Banking Centers and identified in this Agreement and the Schedules and Exhibits hereto, and not otherwise excluded pursuant to the provisions of Subsection 1.1(b):

  • Seller Deliverables At the Closing, the Seller shall deliver to the Purchaser:
