Buyer Permits. Buyer shall obtain and maintain all Permits necessary for the execution and completion of the Equipment Supply Obligations in accordance with the Project Schedule, the Balance of Plant Work, and any other Permits necessary to develop, construct, install, engineer, operate or maintain the Project (other than the Supplier Permits) (collectively, the “Buyer Permits”). Supplier shall, at no cost or expense to it, reasonably cooperate with Buyer with respect to obtaining any Buyer Permits. Reasonably promptly following receipt thereof, Buyer shall deliver copies to Supplier of all such Buyer Permits that are reasonably likely to have an impact on Supplier’s performance of the Equipment Supply Obligations.
Buyer Permits. Buyer shall have obtained all Permits and Environmental Permits listed on Schedule 7.4, to the extent necessary, to own and operate the generating facilities included in the Acquired Assets in accordance with past emissions and operating practices, except for those Permits and Environmental Permits the absence of which would not individually or in the aggregate have a Material Adverse Effect.
Buyer Permits. Prior to and on the Closing Date, subject to the receipt of the PECO Required Regulatory Approvals, PECO will hold all permits, certificates, licenses and other authorizations of all Governmental Authorities that PECO requires in order to own, lease, maintain and operate the Peach Bottom Station, including the Purchased Assets (collectively, "PECO Permits"), except, in each case, for (a) PECO Nuclear Permits (which are governed by Section 5.5) and (b) such failures to hold or comply with such PECO Permits as would not result in a Material Adverse Effect or would not, individually or in the aggregate, materially impair PECO's ability to consummate the transactions contemplated hereby.

Buyer Permits. Buyer shall exercise its reasonable efforts to satisfy and to effectuate on or prior to the Closing Date, or as soon thereafter as is practicable, the transfer or issuance of all licenses and permits it may require to operate its business on the Site on and after the Closing Date.
Buyer Permits. Buyer shall have obtained and/or been issued any and all Buyer Permits from governmental or quasi-governmental authorities that are either a condition of the sale of the Facilities to Buyer or necessary or advisable for Buyer to obtain (rather than receive an assignment thereof from Seller (or Current Owner) or rely on comparable permits, licenses, approvals or provider agreements issued to a Operator) in connection with the use, operation and ownership of the Facilities from and after Closing in the ordinary course of business.
Buyer Permits. Buyer and its Subsidiaries hold all material Permits necessary to conduct its business and to own or use their respective assets and properties, as such business, assets and properties are conducted, owned and used, respectively, on the date hereof. All such Permits are valid and in full force and effect. Neither Buyer nor any of its Subsidiaries, as of the date hereof is the subject of any pending or, to the Knowledge of Buyer, threatened Action seeking the revocation, suspension, termination, modification or impairment of any such Permits in any material respects.
Buyer Permits. Except as set forth on Section 3.9 of the Disclosure Schedules, Buyer has all necessary Permits and insurance agency appointments necessary to perform the transactions contemplated by this Agreement and the Ancillary Agreements.
Buyer Permits. (a) Between the Closing Date and December 31, 2008, the Company will, and the Buyer will cause the Company to, prepare and submit application(s) to the Maryland Department of the Environment (“MDE”) and the PSC (as well as any other necessary Governmental Authority) to authorize the expansion of the Water Plant to a production capacity of Six Hundred Thousand (600,000) gallons per day. Following the submittal of the application(s), the Company will, and the Buyer will cause the Company to, use commercially reasonable efforts to pursue the approval of the application(s), said efforts to include, without limitation: (i) the Company responding to any requests for information by any Governmental Authority within the time period required by the requesting Governmental Authority, and (ii) in the event that any Governmental Authority has not formally approved the Company’s application (as may be amended based on comments and feedback from any other Governmental Authority) before the first anniversary of the Company submitting its application(s) to each respective Governmental Authority, the Company exercising its due process rights to have its application reviewed, appealed or otherwise decided.
(b) Between January 1, 2009 and December 31, 2010, the Company will, and the Buyer will cause the Company to, prepare and submit an application to the MDE and the PSC (as well as any other necessary Governmental Authority) to authorize the expansion of the Water Plant to a production capacity of One Million (1,000,000) gallons per day. Following the submittal of the application(s), the Company will, and the Buyer will cause the Company to, use commercially reasonable efforts to pursue the approval of the application(s), said efforts to include, without limitation: (i) the Company responding to any requests for information by any Governmental Authority within the time period required by the requesting Governmental Authority, and (ii) in the event that any Governmental Authority has not formally approved the Company’s application (as may be amended based on comments and feedback from any other Governmental Authority) before the first anniversary of the Company submitting its application(s) to each respective Governmental Authority, the Buyer exercising its due process rights to have its application reviewed, appealed or otherwise decided.
