Certification of Eligible Costs. All Eligible Costs shall be certified by the District or Developer in accordance with procedures set forth in Exhibit C or as otherwise approved in writing by the Parties. Cost savings in the line items listed in Exhibit B may be allocated to cost overruns in any other line item.

Certification of Eligible Costs. The USOM agrees to provide all documentation reasonably requested by the Financing Entity to certify and document the Eligible Costs in satisfaction of Financing Entity’s obligations under the Resolution and the Indenture. The Parties acknowledge that the requisition procedures set forth in the Indenture were intended to satisfy the requirements in the Resolution regarding certification and approval of Eligible Costs. Eligible Costs requisitioned and certified pursuant to the Indenture and paid out of the Corporation Account will be presumed to be Eligible Costs for purposes of the Reimbursement Obligation. Any costs incurred by the USOM relating to the Museum and paid from USOM funds other than the Corporation Account must be certified through the Financing Entity as Eligible Costs pursuant to the Resolution in order to be eligible for reimbursement pursuant to this Agreement.

Certification of Eligible Costs. Following completion of the restoration of the Property in accordance with the HRA, the Applicant must submit to the City a certification (the “Certification”) of the costs of the Property restoration project, based on the final inspection and approval of the City, from either a public accountant or professional quantity surveyor. If the final costs are less than the original estimate, the Tax Exemption will be reduced to reflect the lesser amount. Should the final costs exceed the original estimate; the original exemption approved by Council will apply unless the applicant wishes to return to Council to alter the amount.

Prior to and as a condition precedent to paying or reimbursing any Project Element Sponsor, Developer, or lender for any Eligible Costs with Dedicated Revenue or Bond proceeds, Financing Entity must obtain a certification from an independent engineer engaged by Financing Entity for hard and soft construction- related costs stating that such construction-related costs are reasonable and comparable for similar projects. Before initiating construction of each Project Element, and on an annual basis thereafter, the independent engineer must certify that the proposed design plans and on-going construction for each Project Element are in accordance with Section 5(B) and Exhibit B to the Resolution. Nothing in this subsection shall be construed to preclude the design engineer for any portion of the Project from serving as the independent engineer referred to in this Subsection.
