Chairman, President and Chief Executive Officer. For so long as this Agreement is in effect, Pagon will be elected by the Board of Directors as Chairman, President and Chief Executive Officer of the Company, except in case of incapacity.
Chairman, President and Chief Executive Officer. During the term of this Agreement (described in Section 4 below), the Employee agrees to serve as Chairman of the Board of Directors, President and Chief Executive Officer of the Company. The Employee shall at all times report to, and his activities shall at all times be subject to the direction and control of, the Board of Directors of the Company, and the Employee shall exercise such powers and comply with and perform, faithfully and to the best of his ability, such directions and duties in relation to the business and affairs of the Company as may from time to time be vested in or reasonably requested of him by the Board of Directors. The Employee agrees to devote substantially all of his business time, attention and services to the diligent, faithful and competent discharge of such duties for the successful operation of the Company's business.

Consultant hereby agrees to provide consulting services to the Company in the capacity of President, Chief Executive Officer and Chairman of the Board of Directors. The services to be performed by Consultant hereunder shall be substantially similar in substance and manner of performance as performed by Consultant as Chairman of the Board and President of Home Port during the three years preceding the date of this Agreement. Nothing herein shall prohibit Consultant from engaging in other business activities provided that such activities do not materially interfere with the discharge of his duties hereunder.

Matters relating to senior staff such as hiring, disengaging and remuneration shall be approved by the Chairman and CEO.
