Chairperson and Vice Chairperson. The Board of Managers shall designate one of its members as the Chairperson and another as the Vice Chairperson. The Cinergy Managers shall have the right to designate the Chairperson serving for a three-year term from the formation of the Company. The next Chairperson shall be designated by the Trigen Solutions Managers and shall serve for a term of three (3) years, with the position thereafter alternating for three-year terms between the designees of each of the Cinergy Managers and the Trigen Solutions Managers. A Vice Chairperson shall be designated by the Managers whose designee is not serving as the Chairperson. Neither the Chairperson nor the Vice Chairperson shall have any additional or special voting rights and either may be replaced at any time during his or her term by the Managers by whom initially designated. The Chairperson shall preside over all meetings of the Board of Managers. In the absence of the Chairperson, the Vice Chairperson shall preside over a meeting of the Board of Managers. The Chairperson and Vice Chairperson shall have such other authority and perform such duties as the Board of Manages may determine in its sole discretion.
Chairperson and Vice Chairperson. It shall be the duty of the Chairperson, and the Chairperson shall have the power to see to it, that all orders and resolutions of the Board are carried into effect. The Chairperson shall, from time to time, report to the Board all matters within his or her knowledge which the interests of the Company may require to be brought to its notice. The Vice Chairperson shall act as Chairperson in the absence or disability of the Chairperson.
Chairperson and Vice Chairperson. The Steering Committee members shall elect by majority vote of all of the voting members of the Committee, from amongst the members of the Committee, a vice-chairperson who will serve a one-year term. Said election will occur at the final regularly scheduled meeting of the calendar year of the Steering Committee prior to the expiration of the chairperson’s one-year term. The vice-chairperson shall assume the responsibilities of the chairperson at the end of the chairperson’s term and any time the chairperson is unable to attend committee meetings. Kansas and Missouri shall be represented in these positions in alternating years.
Chairperson and Vice Chairperson. The ACTC Board will annually select a chairperson and vice-chairperson from among its members, by nomination and vote.
Chairperson and Vice Chairperson. The Board shall select from among its members a Chairperson and a Vice-Chairperson who shall cease to serve in that role upon ending service on the Board or upon the expiration of their terms as Chairperson and vice- Chairperson.
Chairperson and Vice Chairperson. The Committee will appoint a Chairperson and Vice-Chairperson at its first meeting following the approval of the Committee’s Terms of Reference by the Parties, and annually following the City and County Council organizational meetings.
Chairperson and Vice Chairperson a) A GSP Group Representative shall serve as Chairperson. The Vice Chairperson, who shall also be a GSP Group Representative, shall serve in the absence of the Chairperson. In the absence of both the Chairperson and Vice Chairperson, a meeting may be led by an Acting Chairperson selected on an ad hoc basis.
b) The positions of Chairperson and Vice Chairperson shall rotate among the GSP Groups on an annual basis according to alphabetical order, with the first rotation beginning on the date the first Chairperson is selected. The schedule for rotation among the GSP Groups will be set at the first meeting after the Chairperson is appointed and reviewed and adjusted annually. A GSP Group Representative may waive designation as Chairperson. In such a case the Chairperson office would rotate to the next designated entity.
Chairperson and Vice Chairperson. (a) The Chairperson shall be the Chairperson of Members and the Chairperson shall preside at all meetings of the Members and shall perform such other duties and exercise such other powers as may from time to time be prescribed by the Members. At each annual meeting of the Members at which a quorum is present, the Member receiving the greatest number of votes shall be Chairperson until his or her successor is elected at the next annual Members meeting or until his or her resignation or removal in accordance with Section 6.3 hereof in which event his replacement shall become Chairperson for the remainder of his or her term. Xxxxxxx Xxxxx initially shall serve as the Chairperson.
(b) In the absence of the Chairperson, the Vice Chairperson shall be the Vice Chairperson of the Members and shall preside at all meetings of the Members. The Vice Chairperson shall perform such other duties and exercise such other powers as may from time to time be prescribed by Members. At each annual meeting of the Members at which a quorum is present, the Member receiving the greatest number of votes shall be Vice Chairperson until his or her successor is elected at the next annual Members meeting or until his or her resignation or removal in accordance with Section 6.3 hereof in which event his or her replacement shall become Vice Chairperson for the remainder of his or her term. Chairperson and Vice Chairperson. (A) In general
Chairperson and Vice Chairperson. (1) The Supervisory Board shall elect a chairperson and vice chairperson from its midst. The term of office of the chairperson and vice chairperson shall correspond to their terms of office as member of the Supervisory Board, unless a shorter term of office is determined during the election. Following the Shareholders' Meeting at which the Supervisory Board members to be elected by the shareholders have been appointed, the chairperson and vice chairperson shall be elected in a session which is to take place without any further convocation.
(2) In the event the chairperson or the vice chairperson withdraws from his or her office prior to the expiration of the term thereof, the Supervisory Board must immediately conduct a new election for the residual term of office of the withdrawn person.
