City Parcel. VWL shall improve the City and County of Honolulu (“City”) right-of-way parcel for Auahi Street fronting KAK 21-001 (Ulana), Tax Map Key No. (1) 2-1-056: 011 ("City Parcel"), from the centerline of Auahi Street to the curb fronting Ulana. Improvements, to the extent consistent with City road repair design standards, are expected to include patching of existing asphalt in the City Parcel so there is a smooth, continuous driving surface between the City Parcel and the roadways directly adjacent, as well as improvements to curbs, gutter storm drains, streetlights, street trees, and installation of protected bicycle lanes from the entire length of Auahi Street from Koula Street to Kamani Street. VWL may also enter into a memorandum of agreement with the Trustees of the Estate of Xxxxxxx Xxxxxx Xxxxxx (the “Trustees”) in which one party constructs the improvements to the entire City Parcel and the other party pays for its share. VWL shall confer with the Trustees in good faith in planning the improvements to the City Parcel to facilitate a cohesive street design.

City Parcel. At the same time the City conveys to ProMedica the Parking Facility Site, the City will convey to ProMedica in fee simple, without fee or charge, the City Parcel subject only to: (i) any and all rights of a lessee under any existing lease agreement; (ii) the conveyance will exclude such portions of the City Parcel which include the Imagination Station permanent, structural improvements; (iii) ProMedica shall maintain the existing turn- around/drop-off area at Summit Street in favor of (for the benefit of) Imagination Station (inclusive of any successor to Imagination Station which utilizes the Imagination Station exclusively for a non-profit, children’s science center); (iv) the City will retain fee simple ownership of an area of approximate thirty feet (30’) along the north side of the City Parcel to permit access and provide for maintenance of the Imagination Station facility and access from Summit St. to the Maumee River; (v) without limiting the use of the City Parcel as provided in (iii), until such time as ProMedica desires to modify the City Parcel to accommodate its needs for the ProMedica Campus, ProMedica will maintain and allow use of the City Parcel for/by visitors (during their visit) to Imagination Station (inclusive of any successor to Imagination Station which utilizes the Imagination Station property exclusively for a non-profit, children’s science center); and (vi) the right of reversion in favor of the City if the ProMedica Headquarters Project is not substantially completed within three (3) years after the date of the conveyance. The conveyance of the City Parcel will be via quitclaim deed, and include appropriate ordinances authorizing same.
City Parcel. City of San Xxxx Capistrano. 53 acres of restoration consisting of riparian and coastal sage scrub within Trabuco Creek Wildlife Linkage.  Fairview Park – City of Costa Mesa. 23 acres of restoration consisting of wetlands, grasslands, coastal sage scrub, and riparian.  UC Irvine Ecological Preserve – Nature Reserve of Orange County. 8.5 acres of restoration consisting of cactus scrub.  Aliso Creek – Laguna Canyon Foundation. 55 acres of restoration consisting of riparian and transitional habitat.  Chino Hills State Park – California Department of Parks and Recreation.
City Parcel. Eagle Shadow shall sell and the City shall purchase the City Parcel on the terms and conditions set forth in the Real Estate Purchase and Sale Agreement, which the Parties shall execute and deliver to Escrow Agent (as defined therein) on or before the Effective Date. The City acknowledges and agrees that the City Parcel is subject to the Zoning, conditions, covenants, and restrictions, and other development guidelines that govern the Property.
City Parcel. The City, its successors and assigns, shall indemnify and hold CSR harmless from and against all claims, liabilities and expenses (including reasonable attorneys’ fees) relating to accidents, injuries, loss, or damage of or to any person or property (including improvements to any easement area) occurring on or about the Driveway Easement located within City Parcel, wholly or in part, as a result of any act or omission by the City, its employees, agents, or invitees. Such indemnity shall not apply to the extent of any loss or claim due to or arising from the negligent or wrongful acts or omissions of CSR.
