Co-Location Services. Following the date of the State's Decision and upon the making of a written request by FirstNet to do so, Lessee and FirstNet shall enter into good faith negotiations for an agreement for co- location services, on a non-exclusive basis, for FirstNet to locate certain equipment on any of the Lessee's Federally-funded LTE sites and infrastructure (e.g., towers), to the extent permitted by Lessee’s existing agreement with the underlying property owner and/or lessor.

Co-Location Services. 3.1 By signing this Co-Location Agreement, the Operator duly confirms and certifies to hold a valid Service Notification. In case the above-mentioned Service Notification is amended, expires or is retrieved by the ILR, the Operator duly undertakes to notify forthwith POST Technologies in writing as soon as it has due knowledge of such fact or reasonable risk of occurrence of such fact. 3.2 The Co-Location Services offered to the Operator under this Co-Location Agreement are those as specified in the applicable RCO and which have been ordered by the Operator to POST Technologies in compliance with the relevant ordering and provisioning procedures as referred to in the applicable RCO. 3.3 Should the Operator reasonably require from POST Technologies any features, facilities and/or services not expressly covered by the applicable RCO but strictly ancillary to any Co-Location Services (the “Ancillary Co- Location Services”), the Operator shall provide POST Technologies with a written request specifying in detail its requirements and needs and POST Technologies will examine the said request. If the Parties reach an agreement in this respect, it shall be formalized in writing and, if appropriate, the agreed terms shall be incorporated in Appendix 2, if need be by way of a formal amendment to this Co-Location Agreement in compliance with Clause 9.2.
Co-Location Services. From and after the Closing Date, on the terms and subject to the conditions contained herein and the obtaining by Newco of any necessary consents, Company and its Subsidiaries (collectively, “Services Recipients”) may use, within the existing data center space designated on Exhibit A (the “Licensed Space”), up to that amount of segregated space and consume up to that amount of power resources designated on Exhibit A for the purpose of hosting computer and communication equipment of Services Recipients and their customers. The Newco resources required to support Services Recipients use of Licensed Space shall be consistent with the resources and intensity of use of those resources provided Services Recipients’ predecessor in the six months before the effective date of the Transaction Agreement (except to the extent any reduction to such resources is not, individually or in the aggregate with all reductions to any services, materially adverse to the conduct of Services Recipients’ business or Services Recipients’ relationship with any customer, and provided such reduction is consistent with a reduction in such resources with respect to Newco’s business).
Co-Location Services. Following the date of the State's Decision and after serving a written request to do so, FirstNet shall enter into good faith negotiations with Motorola and Lessee and any underlying property owner and/or lessor from which Lessee is leasing LTE site space, for an agreement for co-location services, on a non-exclusive basis, for FirstNet to locate certain equipment on any of Motorola's Federally-funded LTE sites and infrastructure (e.g., towers), to the extent permitted by the underlying property owner and/or lessor.

  • Installation Services The Bitstream 2a Service includes a Standard Install as set out below (in each case to the extent that the relevant provisioning works are not already complete for the relevant Service Order).1

  • Acquisition Services (i) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the Company; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the Company; (vi) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Service Location The services shall be performed at all contracting and participating facilities of the Contractor.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times.   • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Parents and guardians must assume a responsibility for maintaining this partnership by supporting the school in the provision of education to their children within the scope of School's registration and furthering the spiritual and academic life of their children.

  • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. The CONTRACTOR will permit its personnel and contractors to access COUNTY data remotely only as required to provide technical support. (Remote access to data from outside the continental United States is prohibited unless approved in advance and in writing by the County.) 1.2. The CONTRACTOR must notify the COUNTY in advance and in writing of any location changes to CONTRACTOR’s data center(s) that will process or store County data.
