Combined Governance Board (GB. 7.3.1 The former Advisory Group and Governance Board are now combined to create a single Governance Board, hereon referred to as the ‘Board’. The GB is the decision making body for NAS as outlined in the ‘Directions’. The overall role of the Board is to provide strategic direction and decisions to facilitate the delivery and improvement of adoption services across Wales through the National Adoption Service arrangements. The full range of the Boards responsibilities are laid out in the Terms of Reference and the ‘Directions’. Combined Governanc Its primary strategic responsibilities are: ◾ To provide political and professional leadership and advice to inform the overall strategic direction of the NAS and adoption services in Wales ◾ To hold the Regional Collaborative/s (and their services), the Director of Operations and central team, the VAA’s and other services accountable for the delivery and performance of their services within the NAS arrangements. ◾ To approve, as prepared by the Director of Operations / Central Team: ✓ An annual programme of work for the NAS. ✓ A half year and full year progress report for the Minster for Health and Social Services and the Welsh Government. ✓ The budget and financial management arrangements of services and the office of the Director of Operations. ◾ To support the delivery of adoption services through the NAS arrangements to ensure it reflects the best possible practice and is based on a culture of continuous improvement. ◾ To notify Welsh Ministers of any issues regarding the National Adoption Service which it considers need to be drawn to their attention

  • Shared Governance The parties shall develop a variety of shared governance models which schools may consider. Schools shall select a model that best suits their needs or the staff may develop an alternative model of governance with direct involvement by teachers, other staff and community representatives. Staff approval and commitment to the model is essential. The selected model of governance will be specifically described in each school's improvement plan.

  • Audit Committee (A) The Audit Committee shall be composed of five members who shall be selected by the Board of Directors from its own members, none of whom shall be an officer of the Company, and shall hold office at the pleasure of the Board.

The Nurse Staffing Committee (“NSC”) shall be responsible for determining the Institute’s staffing plan and resolving complaints raised by nurses regarding the implementation of the plan as well as those activities required of it under RCW 70.41, et seq and its successors.

  • JOINT ADVISORY COMMITTEE 5.01 A Joint Advisory Committee shall operate during the term of this agreement consisting of one (1) employee representative from each location and up to an equal number of employer representatives who shall meet at least once every six (6) months to discuss working conditions, economy of operation, quality and quantity of service, safety and health, workplace stress, violence and abuse prevention, and other matters to promote an ongoing harmonious relationship between the Employer and its employees. The Joint Advisory Committee shall meet at the request of either party. The full-time Union Representative may attend said meetings. All time spent attending Joint Advisory Committee meetings by employees shall be considered time worked but time spent at “pre-meetings” will not be considered time worked.

  • Compensation Committee (A) The Compensation Committee shall be composed of not more than five (5) members who shall be selected by the Board of Directors from its own members who are not officers of the Company and who shall hold office during the pleasure of the Board.

  • TRANSITION COMMITTEE 8.1.0 A transition committee comprised of the employee representatives and the employer representatives, including the Crown, will be established by January 31, 2016 to address all matters that may arise in the creation of the Trust.
