The AJCC Partners to this agreement will work closely together to ensure that all Comprehensive AJCC One-Stop Centers are high performing work places with staff who will ensure quality of service. 1. The responsibility for providing local primary mental health support services within the region will lie with Hywel Dda Health Board. The Health Board will work with Local Authority partners who will be responsible for provision of a wide range of community services such as social care, education, employment and information, advice and accommodation services. The Third Sector will continue to provide a wide range of generic support services. The partners will work together, building upon existing services and seeking to strengthen and improve specific and generic support services including debt counseling, groups that grow, education, volunteering and advocacy services. Roles and Responsibilities of Partners. 1) Head North agrees to subscribe a total of THREE HUNDRED SEVENTY FIVE THOUSAND DOLLARS ($375,000.00 USD) representing: Series A Convertible Preferred Stock shares to Head North, and; Series A Convertible Preferred Stock shares providing the following: · Section 4 provides full dissolution protection. Series A holders are senior to common stock holders. This means all the assets of the Company go to Series A holders before common stock holders in the event of a dissolution, liquidation or winding up. · Section 5(iii) provides full ratchet protection to the down side. It provides Series A investors with down side protection in the event shares are sold discounted to the purchase price, and; Series A Warrants provide the following: · Exercisable for a period of 1 year · The right, but not the obligation, to convert · Conversion into common stock at $0.50., hereby representing; the remaining balance of Indoor Harvest's current Rule 506(b) Series A offering for $500,000, of which currently $75,000 has been subscribed and $50,000 has been committed. In order for a subscription agreement to be fully executed, the funds subscribed must be delivered to Indoor Harvest's bank account by bank wire. 3) Both parties desire to enter into a design-build agreement to deliver a cannabis pharmaceutical production facility, whereby Indoor Harvest agrees to provide Head North with the necessary framework to see mutual equity interests built into the agreement for all parties, as well as reduced hardware costs for the build-out of the facility. An additional 90 days of exclusivity, to discuss an acquisition, in whole, or in part, or any potential joint venture of Indoor Harvest's Cannabis Division will be granted to Head North upon memorializing and the funding of fair and equitable costs of a Design-Build Agreement. Roles and Responsibilities of Partners. 8.1 Glasgow City Council (GCC) shall have the following roles and responsibilities during the development phase: • GCC will act as lead agency responsible for ensuring the financial administration and financial management of the development phase of the Project in accordance with HLF requirements and in line with procedures for drawing down HLF grant awards. • GCC will nominate two representatives to the Partnership Board, the key decision- making body. One GCC representative shall chair the Partnership Board. • GCC will nominate a member of staff to the Project Team to co-ordinate appropriate resource input to the Project. • GCC will provide advice, assistance and support on the development phase of the Project as appropriate.

On behalf of all 22 LA’s, WLGA will hold a contract with Cardiff Council for the hosting of the central team and the provision of the support services that enables it to operate. This is likely to be through a Joint Committee within its own governance arrangements. 7.1.2 ADSS-C provides professional and strategic leadership of social care services in Wales, representing the collective view of all twenty-two local authorities’ social services departments across Wales. ADSS-C led the creation of the original functional model for NAS and shares leadership for NAS. The ADSS-C Lead Director for Children has an active role in supporting the co-ordination of the social care leadership across regions and local authorities.

Expending DSRIP Funds only in accordance with all Legal Requirements. 2.3.6. Reporting to HHC any exclusion from participation in any federal or state health care programs of the Partner or any of its executives, including, but not limited to, any serving in any capacity in the governance structure outlined in Exhibit 3 (Governance Process), any investigation of the Partner or any such individual, and any conviction of, or award of a civil judgment against, the Partner or any of such individuals in connection with any fraud or other inappropriate activity concerning any federal or state health care programs. 2.3.7. Complying with all applicable Legal Requirements and the terms of the DSRIP Agreement.. 2.3.8. Conducting compliance programs as may be required by the State or HHC in connection with the DSRIP Program, including reporting to HHC’s compliance officer any DSRIP-related compliance issues. 2.3.9. Giving such certifications to CSO and HHC, at such intervals and in such formats as CSO shall reasonably determine, to confirm its full performance of its compliance obligations set forth herein, it being understood that HHC and CSO will explicitly rely upon such certifications in fulfilling their own compliance obligations and in giving their own certifications to the State. 2.3.10.
