Commercial Responsibilities. Licensee agrees to use commercially reasonable efforts to Commercialize Licensed Products and to cause the commercial launch of Licensed Products in the Major Market Countries within six (6) months of Regulatory Approval in such Major Market Countries. In making any determination regarding such commercially reasonable efforts, the Parties shall take into account the normal course of such programs conducted with sound and reasonable business practices and judgment.

Commercial Responsibilities. TMC agrees to use commercially reasonable efforts to Commercialize Products, which efforts are consistent with the efforts and resources that TMC or a United States-based, mid-sized, specialty pharmaceutical company devotes to products of similar market potential and in similar product lifecycle positions based on conditions then prevailing with respect to the applicable product and the relevant markets. If TMC does not fulfill its commercial diligence obligations set forth in this Article 3, ALZA will be entitled, but not obligated, to terminate the License and this Agreement, subject to the terms of Section 15.4 below. Commercial Responsibilities. Centocor agrees to use commercially reasonable efforts consistent with its and its pharmaceutical Affiliates' normal business practices, and in no event less than efforts standard in the pharmaceutical industry, to Commercialize Licensed Products. Centocor shall use commercially reasonable efforts to effect the commercial launch of Licensed Products in the Major Market Countries within six (6) months of Regulatory Approval in such Major Market Countries.
Commercial Responsibilities. Subject to the terms and conditions of this Agreement, including this Section 4.6 and ARTICLE V, Licensee will have sole responsibility for, authority over, and discretion with respect to, at its own expense, the Commercialization of the Licensed Products in the Field in the Territory.   • General Responsibilities Issuer hereby engages Distributor to act as exclusive distributor of the shares of each class of the Funds. The Funds subject to this Agreement as of the date hereof are identified on SCHEDULE A, which may be amended from time to time in accordance with Section 11 below. Sales of a Fund's shares shall be made only to investors residing in those states in which such Fund is registered. After effectiveness of each Fund’s registration statement, Distributor will hold itself available to receive, as agent for the Fund, and will receive by mail, telex, telephone, or such other method as may be agreed upon between Distributor and Issuer, orders for the purchase of Fund shares, and will accept or reject such orders on behalf of the Fund in accordance with the provisions of the applicable Fund’s prospectus. Distributor will be available to transmit orders, as promptly as possible after it accepts such orders, to the Fund’s transfer agent for processing at the shares’ net asset value next determined in accordance with the prospectuses.
