Commission on Sales. The Supplier will pay the school commission on sales of the Goods on the following terms:
a. For the sales period July 1st to December 31st, the payment will be made no later than February 28th the following calendar year;
b. For the sales period January 1st to June 30th, the payment will be made no later than August 31st of the same calendar year;
c. The commission will be based upon sales from the Retail Premises inclusive of internet orders of Goods excluding any buy back per clauses 3.10;
d. The Supplier will issue an ATO approved Recipient Created Tax Invoice (RCTI);
e. The commission rate 5%, calculated on GST exclusive sales;
f. If this Agreement is terminated, any commission owing to the School Council for sales the Supplier has made up to the termination date will be paid by the Supplier to the School Council within one month of termination and any amounts owing can be offset against Buyback Stock as outlined in Clause 3.10; and
g. The supplier agrees to:
i. Maintain records of its sales of Goods which must be sufficient and transparent to enable the Supplier to determine the amount of commission owed to the School Council in respect of that period; and
ii. Provide such records to the School Council on its request.
Commission on Sales. The Member agrees that the Provider shall receive a commission of 20% on all sales that result from the Member's sales activities through the Danish Showroom platform, including but not limited to sales made via the online shop, pop-up showcases, curated events, and any direct or indirect transactions facilitated by the Provider's services.

Any bonus earned within a particular 2005 fiscal quarter shall be paid by Buyer to Seller within fifteen (15) business days after the end of such fiscal quarter.
