You acknowledge your resignation from the Company’s Board of Directors effective March 22, 2022, and you affirm that such decision was not because of a disagreement with the Company. Further, notwithstanding anything to the contrary in the Employment Agreement, you acknowledge that you have relinquished your contractual right to be nominated as a board member.

Notwithstanding anything to the contrary in the Employment Agreement, you agree that, effective immediately, you (i) will no longer serve as an observer to the Board and acknowledge that you are relinquishing all rights and privileges in connection with such role as of such date; and (ii) shall only continue as a member of the Scientific Advisory Board to the extent and for so long as both you and the Company desire for you to remain in such role (i.e., either you or the Company may elect to terminate your services as a member of the Scientific Advisory Board at any time following the Separation Date.
Company Affiliation. As of the Separation Date, you are not to hold yourself out as an employee or representative of the Company, or to contact any of the Company’s customers, potential customers or business partners regarding the Company or its business. Without limiting the foregoing, you specifically agree that, within three days of the Separation Date, you will update any and all social media accounts you access, use or maintain to reflect the fact that you are no longer employed by the Company. For purposes of this Section, social media accounts include but are not limited to Facebook, LinkedIn, Instagram, Twitter and Four Square.
Company Affiliation. You hereby resign and confirm your resignation, effective as of the Separation Date, from your position as Chief Executive Officer of the Company and from any and all other positions you hold as an officer, director or employee of the Company or any subsidiary of the Company and further agree to execute and deliver any documents reasonably necessary to effectuate such resignations, as requested by the Company. You agree that, following the Separation Date, you will not hold yourself out as an officer, employee, or otherwise as a representative of the Company (except as provided in the Consulting Agreement), and you agree to update any directory information that indicates you are currently affiliated with the Company, excluding any such directory information that is controlled by the Company, which the Company will cancel.
