Company Services and Service Commencement Date Sample Clauses

Company Services and Service Commencement Date. During the period (the "Interim Service Period") from the Effective Date hereof to a date no later than February 22, 2003 (the "Service Commencement Date") the Company shall continue to provide all services required for complete support and administration of all Reinsured Policies, including without limitation the services set forth on Exhibit A hereto (the "Services"). In furtherance thereof, the Company will ensure that: (i) existing support of the Reinsured Policies, both operational and information technology support, will remain in place until the Service Provider begins providing the services on the Service Commencement Date; and (ii) the Business Employees and such other knowledgeable Company personnel will be available to assist in the initial set up and transition of the Business to Service Provider. The Service Provider will provide 45 days notice of the particular actual Service Commencement Date, which shall be a date no later than seven months from the date of this Agreement. Because the Company does not expect to retain any of the staff required for support and administration of all Reinsured Policies beyond seven months following the date of this Agreement, TIME IS OF THE ESSENCE with respect to Service Provider assuming full operational performance of the Services not later than seven months from the date of this Agreement.
