Compensation to DISTRICT a. Reimburse and compensate DISTRICT for all costs and expenses incurred as provided in this Agreement. At such time as requested by DISTRICT, make an initial deposit with DISTRICT which DISTRICT estimates to be a sufficient minimum deposit to cover two months of costs incurred by DISTRICT including burden and overhead to comply with the terms of this Agreement. The DEVELOPER shall maintain with DISTRICT a minimum amount on deposit of Ten-thousand dollars ($10,000) at all times during Improvements. DISTRICT will withdraw funds from DEVELOPER’s deposit(s) and/or invoice DEVELOPER in accordance with Section 3. DEVELOPER shall pay DISTRICT’s invoices within forty-five (45) days of receipt of such invoices. If DEVELOPER fails to pay such invoices and/or maintain the minimum deposit, (i) the services of DISTRICT may cease and all outstanding charges described above will be subtracted from the previous deposits made by DEVELOPER, and (ii) DISTRICT at the sole discretion of Director may also issue a “stop work order” for all construction within DISTRICT right-of-way. DEVELOPER acknowledges that DISTRICT may not accept any portion of the Improvements that has not been subject to DISTRICT’s inspection during construction. Upon acceptance of the Grant Deed for the VFPF property, a final accounting and any possible refund will be sent to DEVELOPER in accordance with Section 3.
