Completion of the Utilisation Request. The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
(a) the proposed Utilisation Date is a Business Day within the Availability Period;
(b) the currency and amount of the Utilisation comply with Clause 5.3 (Currency and amount); and
(c) the proposed Interest Period complies with Clause 9 (Interest Periods).
Completion of the Utilisation Request. (a) The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
(i) the proposed Utilisation Date is a Business Day within the Availability Period; and
(ii) it specifies that the currency of the Utilisation is sterling,
(b) Only one (1) Utilisation Request may be served under this Agreement in respect of the Facilities for all Aircraft.
Completion of the Utilisation Request. The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless the proposed Utilisation Date is a Business Day within the Availability Period.
Completion of the Utilisation Request. (a) The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
(i) the proposed Utilisation Date is a Business Day within the Availability Period;
(ii) the currency and amount of the Utilisation comply with Clause 5.4 (Currency and amount);
(iii) the proposed Interest Period complies with Clause 10 (Interest Periods); and
(iv) the account to which the Loan will be disbursed to the Borrower shall be the Drawdown Account.
(a) Only one Loan may be requested in each Utilisation Request.
Completion of the Utilisation Request. 5.2.1 The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
(a) the proposed Utilisation Date is a Business Day within the Availability Period;
(b) the amount of the Utilisation complies with clause 5.3 (Amount);
(c) the proposed Interest Period complies with clause 9 (Interest Periods); and
(d) sufficient proof that the signatory of such Utilisation Request is duly authorised to issue such request on behalf of the Borrower.
Completion of the Utilisation Request. The Utilisation Request will, once served, be irrevocable. It will not be regarded as having been duly completed unless:
(a) the proposed Utilisation Date is a Business Day within the Availability Period which is, or immediately precedes, the proposed date for completion pursuant to the Purchase Agreements; and
(b) the amount of the Loan is at least (pound) 5,000,000 and does not exceed the Total Commitments.
Completion of the Utilisation Request. (a) The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
(i) the proposed Utilisation Date is the Delivery Date of the Drillship and is a Business Day within the applicable Availability Period;
(ii) the currency and amount of the Utilisation comply with Clause 5.3 (Currency and amount);
(iii) the proposed Interest Period complies with Clause 9 (Interest Periods); and
(iv) it specifies the account of the Builder in accordance with the Building Contract and/or the account of the Drillship Owner for reimbursement to the Drillship Owner of amounts already paid to the Builder.
(b) Only one Advance under each Facility may be requested in the Utilisation Request.
Completion of the Utilisation Request. The Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:

(a) it has been signed by the Chief Executive Officer or the Chief Financial Officer or another Authorised Signatory of the Borrower;
(i) it identifies the Facility to be utilised;
(ii) the proposed Utilisation Date is a Business Day within the Availability Period applicable to that Facility;
(iii) the currency of each of the proposed Loans (the subject of the Utilisation Request) is (in the case of any Loan under Facility B1 or Facility C) KRW or (in the case of any Loan under Facility A or Facility B2) USD;
(iv) the amount of each of the proposed Loans (the subject of the Utilisation Request) under any Facility does not exceed the Available Facility for such Facility;
(v) the proposed Interest Period for each of the proposed Loans (the subject of such Utilisation Request) complies with Clause 9 (Interest Periods); and
(vi) the requirements of Clause 5.4 (Additional Conditions to Utilisation) are complied with in respect of each Utilisation (the subject of such Utilisation Request).
(b) Only one Loan under each Facility may be requested in a Utilisation Request.
(c) The amount of the proposed Facility A Loan must be a minimum of the aggregate amount of each Lender’s Available Commitment under Facility A or, if less, the aggregate amount of Financial Indebtedness outstanding under the Existing Senior Secured Credit Facility Agreement Facility (as certified to the Administrative Agent in accordance with paragraph 7(g) of Part I of Schedule 2 (Conditions Precedent) of this Agreement). Upon the making of any Facility A Loan, the Available Commitment of each Lender in respect of Facility A and the Available Facility A shall immediately be reduced to zero.
(d) Other than in respect of any Facility B1 Loan to be advanced on the First Utilisation Date, the amount of a proposed Facility B1 Loan must, when aggregated with the minimum amount in KRW (calculated in accordance with the Specified Rate of Exchange) of any proposed Facility B2 Loan in accordance with paragraph (e) below, be a minimum of KRW10,000,000,000 or if less, the Available Facility in relation to Facility B1.
(e) The amount (in KRW, calculated in accordance with the Specified Rate of Exchange) of a proposed Facility B2 Loan must, when aggregated with the minimum amount of any proposed Facility B1 Loan in accordance with paragraph (d) above, be a minimum of KRW10,000,000,000 or if less, the Availab...
Completion of the Utilisation Request. 4.2.1 Each Utilisation Request is irrevocable and will not be regarded as having been duly completed unless:
4.2.1.1 the proposed Utilisation Date is a Business Day within the Availability Period;
4.2.1.2 the currency and amount of the Utilisation complies with Clause 4.3 (Currency and amount);
4.2.1.3 it specifies a bank account in South Africa to which the Borrower wishes the proceeds of the relevant Facility B Loan to be credited; and
4.2.1.4 it is accompanied by a duly executed Green Costs Certificate, and a Green Costs Report which relates to the proposed Utilisation.
4.2.2 Only one Facility B Loan may be requested in each Utilisation Request.
4.2.3 The Borrower may not deliver a Utilisation Request if there are Utilisations yet to be made in terms of any Utilisation Requests delivered prior to such Utilisation Request.
4.2.4 Only one Utilisation Request may be delivered in respect of Facility B during each month of the Availability Period.
