Compliance with Ground Lease. (a) This Master Lease, to the extent affecting and solely with respect to the Ground Leased Property, is and shall be subject and subordinate to all of the terms and conditions of the Ground Lease. Tenant hereby acknowledges that Tenant has reviewed and agreed to all of the terms and conditions of the Ground Lease. Tenant hereby agrees that Tenant shall not do, or fail to do, anything that would cause any violation of the Ground Lease. Without limiting the foregoing, (i) Tenant shall pay Landlord on demand as an Additional Charge hereunder all rent required to be paid by, and other monetary obligations of, Landlord as tenant under the Ground Lease (and, at Landlord’s option, Tenant shall make such payments directly to the Ground Lessor); provided, however, such Additional Charges payable by Tenant shall exclude any additional costs under the Ground Lease which are caused solely by Landlord after the date hereof without consent or fault of or omission by Tenant, (ii) to the extent Landlord is required to obtain the written consent of the lessor under the Ground Lease (the “Ground Lessor”) to alterations of or the subleasing of all or any portion of the Ground Leased Property pursuant to the Ground Lease, Tenant shall likewise obtain Ground Lessor’s written consent to alterations of or the subleasing of all or any portion of the Ground Leased Property, and (iii) Tenant shall carry and maintain general liability, automobile liability, property and casualty, worker’s compensation and employer’s liability insurance in amounts and with policy provisions, coverages and certificates as required of Landlord as tenant under the Ground Lease. (b) In the event of cancellation or termination of the Ground Lease for any reason whatsoever whether voluntary or involuntary (by operation of law or otherwise) prior to the expiration date of this Master Lease, including extensions and renewals granted thereunder, then, at Ground Lessor’s option, Tenant shall make full and complete attornment to Ground Lessor with respect to the obligations of Landlord to Ground Lessor in connection with the Ground Leased Property for the balance of the term of the Ground Lease (notwithstanding that this Master Lease shall have expired with respect to the Ground Leased Property as a result of the cancellation or termination of the Ground Lease). Compliance with Ground Lease. Throughout the term of this lease, Lessor covenants in favor of Lessee that it will perform all of its obligations under the Ground Lease and will defend, indemnify, and hold harmless Lessee completely and absolutely in the event Lessee suffers any loss, injury, damage or expense as a result of Lessor's failure to perform its obligations under the Ground Lease. Lessor shall immediately notify Lessee of any default by Lessor under the Ground Lease or receipt of any notice from the Ground Lessor under the Ground Lease alleging the breach thereof. .

Tenant shall neither do nor permit (on the part of any person acting for or under Tenant) anything to be done which would cause the Ground Lease to be terminated or forfeited by reason of any right of termination or forfeiture reserved or vested in Ground Lessor under the Ground Lease.

Unless the contrary is otherwise permitted in this Agreement, Management Company shall take such actions and refrain from taking such actions, as shall be necessary for Owner to comply with the Ground Lease, and the Parking Garage Lease applicable to the Fairview Park Hotel listed in Exhibit A hereto, and shall make reasonable efforts to comply with other covenants, restrictions and declarations affecting the Hotels. Compliance with Ground Lease. In addition to all of the terms and provisions contained herein, Tenant shall comply with all of the provisions of the Ground Lease which are to be observed and performed by Landlord (as Tenant thereunder) save and except those provisions of the, Sublease regarding the payment of rent. The Ground Lease is incorporated in this Sublease for all purposes as if fully set forth herein and Landlord shall notify Tenant of any change or amendments to such Ground Lease prior to the effective date thereof, or if that is not possible, as soon as reasonably possible. Tenant agrees to indemnify, defend and hold Landlord and its directors, officers, agents and employees harmless from any claim or liability arising from Tenant's failure to comply with the provisions of the Ground Lease. Tenant hereby acknowledges receipt of a copy of the Ground Lease. Notwithstanding anything herein to the contrary, in the event of a conflict between the terms and conditions of the Ground Lease, as amended, and the terms and conditions of this Sublease, the Ground Lease shall control.
Compliance with Ground Lease. Tenant's occupancy of the Leased Premises is subject to the requirements of the Ground Lease. Tenant shall comply with the requirements of the Ground Lease at all times and shall not conduct any activities which would constitute breach of the Ground Lease. If there is a conflict between the requirements of the Ground Lease and of this Lease such that compliance with this Lease would result in a breach of the Ground Lease or compliance with the Ground Lease would result in a breach of this Lease, the Ground Lease shall be controlling; otherwise the Tenant shall comply with the provisions of both this Lease and the Ground Lease. Landlord represents and warrants to Tenant that (i) Landlord will not exercise any right it may have to terminate the Ground Lease unless it also has the right to terminate this Lease; and (ii) Landlord will not modify or amend the Ground Lease during the Lease Term unless such modification or amendment is consented to in writing by Tenant.
