Compliance with In-License Agreements. Neurocrine and its Affiliates and Sublicensees shall provide any information reasonably requested by Voyager to enable Voyager to comply with any applicable reporting requirements under the In-License Agreements. Provided that Voyager timely notifies Neurocrine of such reporting requirement, Neurocrine shall ensure that all applicable and necessary information is received by Voyager from Neurocrine, whether generated by Neurocrine, any of its Affiliates or any Sublicensee, sufficiently in advance (no fewer than [...***...] in advance) of the date(s) on which such information is due to the relevant Inbound Licensor under an In-License Agreement to avoid a breach of such In-License Agreement. All payments owed by Voyager under the In-License Agreements, including license fees, royalties and milestones, shall be allocated between the Parties as set forth in Section 5.2.4 and such payment shall be remitted to the applicable Inbound Licensor by Voyager. Notwithstanding anything to the contrary in this Agreement, unless otherwise agreed by the applicable counterparty, the provisions regarding currency conversion, international payments and late payments, and other relevant definitions and provisions, of the relevant In-License Agreements shall apply to calculate the payments due under the relevant In-License Agreements (but not the payments due under this Agreement).

Compliance with In-License Agreements. The terms of this Agreement, insofar as they relate to a sublicense of Editas Background IP Controlled by Editas or any of its Affiliates pursuant to an In-License Agreement, shall be subject to the terms and conditions of the relevant In-License Agreement, in each case, but only to the extent that the applicable In-License Agreement requires such terms and conditions to be imposed on a sublicensee pursuant to such In-License Agreement, as follows: (a) with respect to any Editas Background IP Controlled by Editas or any of its Affiliates pursuant to the Cas9-I Agreement, the provisions set forth on Schedule 5.6(a) shall apply; (b) with respect to any Editas Background IP Controlled by Editas or any of its Affiliates pursuant to the Cas9-II Agreement, the provisions set forth on Schedule 5.6(b) shall apply; (c) with respect to Editas Background IP Controlled by Editas or any of its Affiliates pursuant to the Cpf1 Agreement, the provisions set forth on Schedule 5.6(c) shall apply; (d) with respect to any Editas Background IP Controlled by Editas or any of its Affiliates pursuant to the 2014 MGH Agreement, the provisions set forth on Schedule 5.6(d) shall apply; and (e) with respect to any Editas Background IP Controlled by Editas or any of its Affiliates pursuant to the 2016 MGH Agreement, the provisions set forth on Schedule 5.6(e) shall apply. Schedule 5.6 shall be updated with respect to any Subsequently Obtained IP in accordance with Section 7.6(b).
Compliance with In-License Agreements. Verve shall comply in all material respects with the terms of the Existing In-License Agreements and Future In-Licensed Technology Agreements and will maintain such agreements in full force and effect for the term of the licensed Intellectual Property Rights, subject to termination with Xxxxx’x consent in accordance with Section 12.2.4.
Compliance with In-License Agreements. The licenses granted under Section 10.1 and 10.2 may include certain rights licensed to the license granting Party by Third Parties under In-License Agreements. Any sublicense of Third Party technology hereunder shall be subject to the terms and conditions of the In-License Agreement under which such sublicense is granted, and shall be effective solely to the extent permitted under the terms of such agreement. Each Party acknowledges that it has reviewed each of the other Party’s existing In-License Agreements listed on Schedules 7.3 and 7.4, if any, and agrees to comply with any applicable terms of (i) any such existing In-License Agreement, (ii) any In-License Agreement with respect to any New Collaboration Compound, Additional Indication or Additional Formulation, in each case that is existing as of the date on which the applicable New Collaboration Compound Option is exercised or the date on which such Additional Indication or Additional Formulation is included in the Collaboration pursuant to Section 3.7 and, in each case which is disclosed to such Party on or before such exercise or inclusion and (iii) any In-License Agreement entered into pursuant to Section 5.5.
Compliance with In-License Agreements. To the extent required under the terms of an In-License Agreement, Juno agrees that Editas may disclose this Agreement and its terms to the applicable In-Licensors; provided that Editas shall ensure that each such In-Licensor to whom this Agreement or its terms are disclosed is bound by written confidentiality obligations and non-use obligations no less restrictive than those set forth in ARTICLE 8 to maintain the confidentiality thereof and not to use such information except as expressly permitted by this Agreement; and provided, further, that Editas shall remain responsible for any failure by any In-Licensor who receives such information to treat such information as required under ARTICLE 8.

  • Compliance with Agreements Promptly and fully comply with all Contractual Obligations to which any one or more of them is a party, except for any such Contractual Obligations (a) the nonperformance of which would not cause a Default or Event of Default, (b) then being contested by any of them in good faith by appropriate proceedings, or (c) if the failure to comply therewith could not reasonably be expected to have a Material Adverse Effect.

  • Compliance with Agreement Buyer shall have performed and complied in all material respects with all of its obligations under this Agreement which are to be performed or complied with by it prior to or on the Closing Date.

  • Compliance with Agreements and Applicable Laws The Seller shall comply with all federal, state and local laws and regulations applicable to it and the Purchaser Assets, including those relating to truth in lending, fair credit billing, fair credit reporting, equal credit opportunity, fair debt collection practices, privacy, licensing and taxation, except to the extent that the failure to so comply, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.

  • Compliance with Material Contracts Each Credit Party shall, and shall cause each of its Subsidiaries to, perform and observe all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, take all such action to such end as may be from time to time reasonably requested by the Administrative Agent and, upon the reasonable request of the Administrative Agent, make to each other party to each such Material Contract such demands and requests for information and reports or for action as any Credit Party is entitled to make under such Material Contract.

No investigation or review by any Governmental Entity with respect to the Company or any of its Subsidiaries is pending or, to the Knowledge of the Company, threatened, nor has any Governmental Entity indicated an intention to conduct the same, except for such investigations or reviews the outcome of which would not, individually or in the aggregate, reasonably be likely to have a Company Material Adverse Effect. Except as would not, individually or in the aggregate, reasonably be likely to have a Company Material Adverse Effect, the Company and its Subsidiaries possess each permit, license, certification, approval, registration, consent, authorization, franchise, concession, variance, exemption and order issued or granted by a Governmental Entity (collectively, “Licenses”) necessary to conduct their respective businesses, since the Applicable Date have been in compliance with all terms and conditions of such Licenses, no such Licenses are subject to any actual or possible revocation, withdrawal, suspension, cancellation, termination or modification, and since the Applicable Date have not received written notice from any Governmental Entity alleging a conflict with or breach of any License. Notwithstanding the foregoing, this Section 5.1(j) shall not apply with respect to Taxes, which shall be covered exclusively by Section 5.1(n) or Environmental Laws, which shall be covered exclusively by Section 5.1(m).

  • Compliance with Applicable Law and Material Contracts The Borrower shall, and shall cause each other Loan Party and each other Subsidiary to, comply with (a) all Applicable Law, including the obtaining of all Governmental Approvals, the failure with which to comply could reasonably be expected to have a Material Adverse Effect, and (b) all terms and conditions of all Material Contracts to which it is a party.
