Compliance with Laws, Contracts. Licenses, and Permits. ------------------------------------------------------ The Borrower will, and will cause each of its Subsidiaries to, comply in all material respects with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its partnership certificate, partnership agreement, charter documents and by-laws, (c) all material agreements and instruments by which it or any of its properties may be bound except as would not reasonably be expected to have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries considered as a whole, and (d) all applicable decrees, orders, and judgments. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which such Person is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of such Person to obtain such authorization, consent, approval, permit or license and furnish the Agent and the Banks with evidence thereof.

Each Borrower will (i) comply with the -------- -------- --- -------- provisions of its charter documents and by-laws and all agreements and instruments by which it or any of its properties may be bound; (ii) comply with all applicable laws and regulations (including Environmental Laws), decrees, orders, judgments, licenses and permits, including, without limitation, all environmental permits ("Applicable Laws"), except where noncompliance with such Applicable Laws would not have a material adverse effect singly or in the aggregate on the financial condition, properties or businesses of the Borrowers considered as a whole; (iii) comply in all material respects with all agreements and instruments by which it or any of its properties may be bound; (iv) maintain all material operating permits for all landfills now owned or hereafter acquired; and (v) dispose of hazardous waste only at licensed disposal facilities operating, to the best of such Borrower's knowledge after reasonable inquiry, in compliance with Environmental Laws. If at any time while the Notes, or any Loan or Letter of Credit is outstanding or any Bank or the Agent has any obligation to make Loans or issue Letters of Credit hereunder, any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that any Borrower may fulfill any of its obligations hereunder, such Borrower will immediately take or cause to be taken all reasonable steps within the power of such Borrower to obtain such authorization, consent, approval, permit or license and furnish the Banks with evidence thereof.

Said Borrower will comply, and will cause each of its Subsidiaries to comply, with all applicable laws, ordinances, rules, regulations, and requirements of governmental authorities (including, without limitation, ERISA and the rules and regulations thereunder, as applicable) except where the necessity of compliance therewith is contested in good faith by appropriate proceedings, or could not reasonably be expected to result in a material adverse effect on the Borrowers and their Subsidiaries, taken as a whole. Said Borrower will perform and comply, and will cause each of its Subsidiaries to perform and comply, with each provision of all material contracts to which it is a party, except where the failure to perform or comply could not reasonably be expected to result in a material adverse effect on the Borrowers and their Subsidiaries, taken as a whole.
Compliance with Laws, Contracts. Borrower shall at all times be in compliance with all applicable laws, rules, restrictions, orders and regulations, and shall not be in default pursuant to any agreement in connection with the Loan or any Project. Each borrowing and requested borrowing by the Borrower hereunder shall constitute a representation and warranty by the Borrower as of the date of each such borrowing and requested borrowing that the conditions in clauses (a) through (f) of this Section have been satisfied.

If at any time any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower may fulfill any of the Obligations, the Borrower will promptly take or cause to be taken all reasonable steps within the power of the Borrower to obtain such authorization, consent, approval, permit or license and furnish the Lenders with evidence thereof.
