Compliance with Technical Specifications. In selling, installing and maintaining DIRECTV Equipment and/or other parts of the DIRECTV SMATV System, DSI MSO Dealer shall comply with all applicable DIRECTV Equipment manufacturers’ policies as set forth by such DIRECTV Equipment manufacturers. In selling, installing and maintaining each DIRECTV SMATV System, DSI MSO Dealer shall ensure that such DIRECTV SMATV System design and installation complies with DIRECTV’s technical specifications (the “Technical Specifications”) and guidelines which are set forth by DIRECTV from time to time for DIRECTV System Level 3 Commercial Installers. Any failure to comply with the Technical Specifications or such other specifications and guidelines described above, shall constitute a material breach of this Agreement.

Compliance with Technical Specifications. The Company must ensure that their development of the API is compliant at all time, with technical specifications published by CPL on the CPL Website and amended from time to time. CPL reserves the right to suspend the Company in accordance with clause 12.4 of this Agreement in the event of non-compliance. Without prejudice to this right, CPL may require the Company to take steps to rectify their development to bring it within the technical specifications.

When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work.
