Compliance with the Lease. Manager shall operate the Facility in ---------------------------- compliance with the requirements of the Lease and shall use its commercially reasonable efforts to assist Owner in complying with its obligations under the Lease.
Compliance with the Lease. Each of MSC and Seller has performed all obligations to be performed by it under the terms of the Lease prior to the date hereof, and neither MSC nor Seller is in violation of its obligations under the Lease.
Compliance with the Lease. Sublessee’s use of the Subleased Property shall be consistent with the use of the Subleased Property permitted by the Lease and shall comply with the Lease. This Sublease is subject to all the terms and conditions of the Lease, to the extent that the terms and conditions apply to the Subleased Property. Sublessee shall not commit, nor permit to be committed on the Subleased Property, any act or omission which would violate any term or condition of the Lease or be cause for termination of the Lease by Lessor. Sublessee agrees to take the Subleased Property subject to all of the terms and conditions of the Lease, and to use the Subleased Property within the restrictions provided by the Lease.

Compliance with the Lease. Operator has reviewed the Lease and, in addition to its other obligations hereunder, shall comply with all terms and conditions of the Lease applicable to the operation and maintenance of the Beneficiation Equipment and the Pond Site while performing the Services.
Compliance with the Lease. Excluding only the payment of Base Rent and Additional Rent, which shall be paid by Subtenant to or on behalf of Tenant under Section 5 above, the Subtenant agrees that, during the Term of this Sublease, it shall comply with all other obligations of the Tenant under the Lease and, after notice of Landlord default under the Lease from Subtenant, the Tenant shall use commercially reasonable efforts to ensure Landlord’s cure of such default.
Compliance with the Lease. Tenant shall not take any action or do or permit to be done anything which (a) is prohibited to Sublessor, as tenant under the Lease, (b) will result in a violation of or default under any of the terms, covenants, conditions, or provisions of the Lease or any other instrument to which this Agreement is subordinate, (c) will result in any additional cost or other liability to Sublessor unless paid for by Tenant, or (d) invalidate or increase the existing rate of any fire or other insurance policy applicable to the Subleased Premises unless Tenant pays for any such increase. Except as specifically set forth in this Agreement to the contrary, all acts to be performed by, and all of the terms, provisions, covenants, stipulations, conditions, obligations, and agreements to be observed by Sublessor, as tenant under the Lease, shall, to the extent that the same relate to the Subleased Premises, be performed and observed by Tenant, and Tenant’s obligations with respect thereof shall run to Sublessor or Landlord, as Sublessor may determine to be appropriate or as may be required by the respective interests of Sublessor and Landlord. Tenant shall indemnify Sublessor against, and hold Sublessor harmless from, all liabilities, losses, obligations, damages, penalties, claims, costs and expenses (including, without limitation, reasonable attorneys’ fees and other costs) which are paid, suffered or incurred by Sublessor as a result of the nonperformance or nonobservance of any such terms, provisions, covenants, stipulations, conditions, obligations, or agreements by Tenant.
Compliance with the Lease. This Sublease shall be subject to the terms and conditions of the Lease. Sublessee shall not be entitled to any rights under this Sublease which are not granted to the Sublessor as Lessee under the Lease and any provision herein purporting to the contrary shall be null and void. Sublessee shall comply with all terms and conditions imposed on Sublessor in the Lease, including but not limited to the Lessor’s Rules and Regulations, except as specifically otherwise addressed in this Sublease. Without limiting the generality of the foregoing, the provisions in the Lease for payment of rent, the provision of security including the Letter of Credit and covenants which may be performed only by the Sublessor, such as avoidance of Sublessor’s bankruptcy, insolvency or appointment of a receiver, shall not be applicable to Sublessee.
Compliance with the Lease. The terms and conditions of the Lease will be incorporated by reference herein and will apply mutatis mutandis to the occupation of the Building and the Lands by the Tenant under this Agreement. The Tenant and the Owner will comply with the terms and conditions of the Lease during the term of this Agreement, except to the extent that such terms and conditions are contrary to or inconsistent with the terms of this Agreement, in which case this Agreement shall apply.
