SUBLEASED PROPERTY. (a) Subject to the terms and conditions of this Sublease, each Sublessor hereby lets, leases and demises unto TowerCo, and except as otherwise provided in Sections 3(h) and 22(b), TowerCo hereby leases, takes and accepts from Sublessor the Subleased Property of all of the Sites owned or leased by such Sublessor, in its "AS IS" condition, without any representation, warranty or covenant of or from SBC or any SBC Affiliate whatsoever as to the condition thereof or the suitability thereof for any particular use, except as may be expressly set forth herein or in the Agreement to Sublease. To SBC's knowledge, the Towers are satisfactory in all material respects for SBC's and its Affiliates' continuing use consistent with its Permitted Use of such Towers. Except as set forth herein, TowerCo hereby acknowledges that neither SBC nor any Affiliate or agent of SBC has made any representation or warranty, express or implied, with respect to any of the Subleased Property, or any portion thereof, or the suitability or fitness for the conduct of TowerCo's business or for any other purpose, including the Permitted Use, and TowerCo further acknowledges that it has had or by its execution and delivery of a Site Designation Supplement, will have had sufficient opportunity to inspect and approve the condition of the Subleased Property of the Sites.
SUBLEASED PROPERTY. (a) Subject to the terms and conditions of this Sublease, each Sublessor hereby lets, leases and demises unto TowerCo, and except as otherwise provided in Sections 3(h) and 22(b), TowerCo hereby leases, takes and accepts from Sublessor the Subleased Property of all of the Sites owned or leased by such Sublessor, in its "AS IS" condition, without any representation, warranty or covenant of or from SBCW or any SBCW Affiliate of SBCW whatsoever as to the condition thereof or the suitability thereof for any particular use, except as may be expressly set forth in the Agreement to Sublease. To SBCW's knowledge, the Towers are satisfactory in all material respects for SBCW's and its Affiliates' continuing use consistent with its Permitted Use of such Towers. SUBLEASED PROPERTY. Upon and subject to the terms and conditions set forth in this Sublease, Sublandlord subleases to Subtenant and Subtenant rents from Sublandlord all of Sublandlord's rights and interest in and to the following real property, improvements and related rights (collectively the "Subleased Property"):
SUBLEASED PROPERTY. SUBLEASED PROPERTY. (a) Subject to the terms and conditions of this Sublease, ALLTEL hereby lets, leases and demises unto ATC, and ATC hereby leases, takes and accepts from ALLTEL, the Subleased Property of the Site owned or leased by ALLTEL or its Affiliates, in its "as is" condition, without any representation, warranty or covenant of or from ALLTEL whatsoever as to the condition thereof or the suitability thereof for any particular use, except as may be expressly set forth in the Agreement to Sublease or this Sublease. ATC hereby acknowledges that neither ALLTEL or its Affiliates nor any agent of ALLTEL has made any representation or warranty, express or implied, with respect to any of the Subleased Property, or any portion thereof, except as specifically set forth in this Sublease and the Agreement to Sublease. ATC further acknowledges that it has had or by its execution and delivery of a Site Designation Supplement will have had sufficient opportunity to inspect and approve of the condition of the Subleased Property of the Sites.
