Condition of Systems. All of the material properties, equipment and systems of each Loan Party, including the Interactive Broadband Networks, are, and all those to be added in connection with any contemplated system expansion or construction will be, in good repair and condition, ordinary wear and tear excepted, and in working order and condition which is in accordance with applicable industry standards, and are and will be in compliance with all standards or rules imposed by any Governmental Authority, except where failure to be in such condition or to so comply could not reasonably be expected to result in a Material Adverse Effect.
Condition of Systems. All of the material Properties and systems of the Borrower and its Subsidiaries are in good repair, working order and condition, ordinary wear and tear excepted, and are in material compliance with all Applicable Laws and all Governmental Approvals (including the Material Concessions) except as could not, individually or in the aggregate, reasonably be expected to result in a Material Adverse Change.
Condition of Systems. All of the material properties, equipment and systems owned, leased or managed by each Restricted Company are, and (to the best knowledge of the Restricted Companies) all such material property, equipment and systems to be acquired or added in connection with any contemplated system expansion or construction will be, in good repair, working order and condition and are and will be in compliance with all terms and conditions of the FCC Licenses and all standards or rules imposed by any Governmental Authority (including the FCC or any PUC) or as imposed under any agreements with telephone companies and customers, except for any such failure to be in good repair, working order or condition, and any such non-compliance, that could not, individually or in the aggregate, reasonably be expected to result in a Material Adverse Effect.
Condition of Systems. All of the material properties, equipment and systems owned, leased or managed by the Borrower or any Subsidiary, and constituting part of the Telecommunications Systems are, and all such property, equipment and systems to be a acquired or added in connection with any contemplated system expansion or construction will be in compliance with all terms and conditions of their respective FCC Licenses and PUC Authorizations, and other Applicable Laws.
Condition of Systems. All of the properties, equipment and systems owned and/or operated by PCI and related to the FCC licenses set forth on Schedule 2.27 are, and, to the knowledge of PCI, any such properties, equipment and systems added in connection with any contemplated system expansion or construction prior to the Closing will be, in compliance with all standards or rules imposed by any governmental agency or authority (including, without limitation, the FCC, the Federal Aviation Administration and (if applicable), any public utilities commission or other state or local governments or instrumentalities) applicable to PCI or its operation of the properties, equipment and systems or as imposed under any agreements with customers, except for any non-compliance that is, individually or in the aggregate Immaterial. To the knowledge of PCI, all of the equipment and systems owned and/or operated by PCI are in good repair and working order, ordinary wear and tear excepted. In addition to the other representations and warranties set forth herein which are expressly based upon PCI's knowledge, with regard to the 450 MHz FCC Licenses set forth on Schedule 2.27, the representations in this Section 2.27(c) are made to the best of PCI's knowledge.
Condition of Systems. To the best of Contributor's knowledge, the heating, ventilation, air conditioning, mechanical, electrical and other systems and equipment forming a part of or used in connection with the Property are operative and in good working condition, normal wear and tear excepted, and in compliance with all applicable laws, ordinances, regulations and requirements.

All of the properties, equipment and systems owned and/or operated by Chadmoore and related to the FCC licenses set forth on a Schedule with reference to this Section are, and any such properties, equipment and systems added in connection with any contemplated system expansion or construction prior to the Closing will be, in compliance with all standards or rules imposed by any governmental agency or authority (including, without limitation, the FCC, the Federal Aviation Administration and (if applicable), any public utilities commission or other state or local governments or instrumentalities) applicable to Chadmoore or its operation of the properties, equipment and systems or as imposed under any agreements with customers. All of the equipment and systems owned and/or operated by Chadmoore are in good repair and working order, ordinary wear and tear excepted.

Condition of Systems. Except for matters that could not reasonably be expected to have a Material Adverse Effect, (A) all of the CATV Systems owned, leased, managed or operated by Cable Systems and its Designated Subsidiaries are in good repair, working order and condition and are and will be in compliance with all terms and conditions of the FCC Licenses, PUC Authorizations and CATV Franchises thereof and all standards or rules imposed by Applicable Law and any Governmental Authority or as imposed under any agreements with telephone companies and customers; and (B) there is not issued or outstanding or, to the best knowledge of the Borrowers, threatened, any notice of any hearing, violation or complaint against Cable Systems or any of its Designated Subsidiaries with respect to the operation of any material portion of its CATV Systems or other business operations.
Condition of Systems. All material property, equipment and systems of the Company are in good repair, working order and condition, ordinary wear and tear excepted, and are in material compliance with:
