Conditionalities. 4.1. In case the Booked daily transmission capacities specified in Individual Contract at the Entry point Veľké Zlievce has not become available to the Shipper in part or full, due to a reason attributable to EUS, other than a reason implied and/or enabled by the applicable legislation and/or Operational order, the Shipper shall have the right (for the period starting on the first Day of the Booked daily transmission capacity commencement until the day when the Booked daily transmission capacity has become available to the Shipper in full) to reduction of the respective payment (hereinafter “Payment Reduction”) reflecting the capacity not provided to the Shipper. In such case EUS shall inform the Shipper in due time and keep the Shipper informed on new estimated date of full provision of the Booked daily transmission capacities. This is without prejudice to any restriction or interruption of gas transmission governed by the applicable legislation and the Operational order to which the abovementioned Payment Reduction shall not apply. 4.2. The Parties agree that if the Booked daily transmission capacities specified in Individual Contract at the entry point Veľké Zlievce has not become available to the Shipper in part or full, due to any reason, not attributable to EUS, such fact does not exclude or in any way affect the Shipper’s payment obligations under this Contract.
Conditionalities. The signature of the contribution agreement is conditional on the fulfilment of the conditions set out in this chapter. (1) CARICOM will undertake to make a counterpart contribution to the contribution agreement component of the overall programme, equivalent to €900,000 over the life of the programme, subject to approval in the 2007 CARICOM budget exercise; furthermore, CARICOM undertakes to make at least €250,000 of this amount available in year one and, at least 50% of the balance in year 2 of the contribution agreement; the remainder will be provided in year 3; (2) An effective merger of the function of the CARIFORUM Secretariat into the CARICOM Secretariat in order to optimise the efficient management of these EDF resources will have to be implemented. The merger will be evident in the CARICOM Secretariat organigramme and in the staff recruitment notices for this programme. (3) Opening of a separate bank account used for the receipts and the payments related to the contribution agreement. During the execution of the contribution agreement: (1) The negotiation of an effective and robust framework for reclaiming sales taxes (or VAT if introduced in Guyana) is negotiated with the corresponding Government department in Guyana. (see recommendation 1 of the outcome of the institutional assessment of 2006). (2) A review and amendment of CARICOM's Guidelines and Procedural Manual (see recommendations 15, 16 and 17 of the outcome of the institutional assessment). (3) Implementation of those conditions and recommendations which were agreed to by both CARICOM and the EC, following the institutional assessment carried out by the auditors.

In the event that the PROPERTY is not transferred within 6 (six) months from date of signing of this Agreement by the CONTRACTOR, the CONTRACTOR reserves the right to: 2.1.1 increase the CONTRACT SUM, based on the current prices for the building materials, and the CONTRACTOR shall notify the EMPLOYER in writing of such increased cost and the EMPLOYER may then, at his/her option, cancel this agreement by providing written notice of cancellation to the CONTRACTOR within 5 (five) DAYS of receiving written notice from the CONTRACTOR in respect of the increased cost. Should written notice of cancellation not be forthcoming within the aforesaid period, the CONTRACTOR and the EMPLOYER shall proceed with the AGREEMENT at the increased CONTRACT SUM and the EMPLOYER shall be obliged to pay the increase in the CONTRACT SUM to the CONTRACTOR within 21 (twenty one) DAYS of receiving written notice from the CONTRACTOR in respect of the increased cost; or 2.1.2 cancel this AGREEMENT and the parties shall have no claim of whatsoever nature against each other. 2.2 This AGREEMENT is subject further to the EMPLOYER being offered a loan to be secured by a mortgage bond over the PROPERTY and improvements in the amount reflected in Schedule B or such lesser amount as the EMPLOYER may accept, within 30 (thirty) DAYS of the date of the CONTRACTOR’s signature of this AGREEMENT, which period may be extended in the CONTRACTOR’s sole discretion. Should no amount be inserted in the relevant field in the Schedule B, then the suspensive condition contained in this clause will not apply. In the event that the suspensive condition contained in this clause is not fulfilled, this AGREEMENT will lapse and the parties shall have no claim of whatsoever nature against each other.

  • Prerequisites The Servicer must take the following actions prior to permitting the grant of a partial release of a Mortgaged Property from the lien of the related Security Instrument, easement, consent to substantial alterations and any other changes affecting the related Mortgage Loan or such Mortgaged Property: (a) where applicable, obtain the respective Primary Mortgage Insurer's and/or the respective Pool Insurer's prior written approval; (b) if the value of the released property is more than five thousand ($5,000) dollars, obtain an acceptable Appraisal Report showing the current market value of such Mortgaged Property before and after the release and showing individually both the value of the land and of the improvements thereon; (c) ensure that any and all cash consideration received at least equals the current market value of property or rights to be released regarding such Mortgaged Property; (d) ensure that any and all cash consideration received is applied to the Unpaid Principal Balance of such Mortgage Loan to the extent of the diminution of the value of such Mortgaged Property; (e) cause all legal documents for the transaction to be reviewed; (f) ensure that such Mortgaged Property, following such release or change, adequately secures the Unpaid Principal Balance of the Mortgage Loan and accrued interest thereon and that the related Loan-to-Value ratio will not be greater than 80%, after giving effect to clause (d) hereof; and (g) obtain written notification from the respective Title Insurer that the related Title Insurance policy remains fully in effect with respect to such Mortgaged Property, as modified, following such release or change.

  • Conditions Affecting Work The Contractor shall be responsible for taking all steps reasonably necessary to ascertain the nature and location of the work to be performed under this Contract and to know the general conditions which can affect the work or the cost thereof. Any failure by the Contractor to do so will not relieve Contractor from responsibility for successfully performing the work without additional cost to the County. The County assumes no responsibility for any understanding or representations concerning the nature, location(s) or general conditions made by any of its officers or agents prior to the execution of this Contract, unless such understanding or representations by the County are expressly stated in the Contract.
