Confidentiality and Limitation on Use. 1. The Requested Party shall, if so requested, use its best efforts to keep confidential a request for assistance, the contents of the request and its supporting documentation, and any action taken pursuant to the request. If the request cannot be executed without breaching confidentiality, the Requested Party shall so inform the Requesting Party before executing the request, and the Requesting Party shall advise whether it nevertheless wishes the request to be executed. 2. The Requesting Party shall, if so requested, use its best efforts to keep confidential information and evidence provided by the Requested Party except to the extent that the evidence and information is needed for the criminal matter to which the request relates and where otherwise authorized by the Requested Party. 3. The Requesting Party shall, if so requested, use its best efforts to ensure that the information or evidence is protected against loss and unauthorized access, use, modification, disclosure or other misuse. 4. The Requesting Party shall not use information or evidence obtained, nor anything derived from either, for purposes other than those stated in a request without the prior consent of the Requested Party.

Confidentiality and Limitation on Use. 20.1 Except as other permitted in this Article, during the term of this Agreement and for a period of five (5) years thereafter, each Party shall retain in confidence and use only for the purposes of this Agreement any Confidential Information supplied by or on behalf of the other Party to such Party under this Agreement. The obligations and duties under this Section 20.1 shall not apply to the information which: (a) was in the public domain at the time of disclosure, (b) was known by such Party prior to the date of disclosure by the other Party as evidenced by tangible records of such knowledge, (c) becomes part of the public domain through no fault of such Party, (d) is disclosed to such Party by a third party having a bona fide right to disclose such information, or (e) is independently developed by such Party without using the Confidential Information of the other Party. 20.2 Notwithstanding the obligations of Section 20.1, (a) in the event a Party is required to make a disclosure of the other Party’s Confidential Information in order to comply with any applicable law, the Party will, as soon as is practicable and legally permitted, notify the other Party of the disclosure or possible disclosure and will use all commercially reasonable efforts to provide the Confidential Information under conditions of confidentiality, or obtain a protective order protecting such information and (b) Bluejay’s obligations of confidentiality and non-use with respect to Toray Know-How shall survive for the period that Toray Know-How retains its status as a trade secret under applicable law, even after five (5) years from the termination of this Agreement. 20.3 No announcement, news release, public statement, publication or other public presentation relating to the existence of this Agreement, the subject matter herein, or either Party’s performance hereunder including any written or oral publication, any manuscript, abstract or the like which includes data or any other information generated and provided by the development effort hereunder, shall be made without the other Party’s prior approval as to form and content.

(2) The Requesting State shall: (a) undertake not to disclose or use the information or evidence furnished pursuant to this Agreement for purposes other than those stated in the request without the prior written consent of the Requested State. The Requested State may consent for the information or evidence to be used for purposes other than those stated in the request subject to such terms and conditions as it may specify; (b) use its best efforts to ensure that the information or evidence is protected against loss and unauthorized access, use, modification, disclosure or other misuse.
Confidentiality and Limitation on Use. 1 When there is no mutual assistance treaty or arrangement on the basis of uniform or reciprocal legislation in force between the requesting and the requested Parties, the provisions of this article shall apply. Confidentiality and Limitation on Use. To the extent that VAI is provided with: 15.1 access to the Confidential Information; 15.2 permission to engage in the Due Diligence; 15.3 access to the Prototype Components; VAI acknowledges that: 15.4 the access and permission is provided solely for the purpose of the Due Diligence; 15.5 no right to manufacture or sell the Technology, the Confidential Information, and any product arising wholly or partly directly or indirectly therefrom, is conferred upon VAI by this Agreement; 15.6 no right to use the Prototype Components and the Intellectual Property other than for the purposes of the in-house confidential Due Diligence by VAI; and 15.7 VAI must only use the Confidential Information and the Prototype Components for the purpose of the Due Diligence; 15.8 disclosure by VAI of the Confidential Information and any aspect of the technology involved in the Technology to any third party may only occur with the prior written consent of DDD USA; 15.9 demonstration by VAI to its customers and potential customers of Presentation Material created or modified using the Technology may occur provided that no disclosure of Confidential Information is thereby made and provided further that the prior written consent of DDD USA is obtained. 15.10 VAI shall sign a DDD Confidentiality Agreement.

As a condition for recovery of any amount by Client against FLG, Client shall give FLG written notice of the alleged basis for liability within ninety (90) days of discovering the circumstances giving rise thereto, in order that FLG will have the opportunity to investigate in a timely manner and, where possible, correct or rectify the alleged basis for liability; provided that the failure of Client to give such notice will only affect the rights of Client to the extent that FLG is actually prejudiced by such failure. Notwithstanding anything herein to the contrary, Client must assert any claim against FLG by the sooner of: (i) ninety (90) days after discovery; (ii) ninety (90) days after the termination of this Agreement; (iii) ninety (90) days after the last date on which the Services were performed; or, (iv) sixty (60) days after completion of a financial or accounting audit for the period(s) to which a claim pertains.

  • Indemnification and Limitation of Liability (a) In the absence of willful misfeasance, bad faith, gross negligence or reckless disregard of obligations or duties hereunder on the part of FSSC and its trustees, officers, employees, agents and representatives, the Funds agree to indemnify FSSC and its trustees, officers, employees, agents and representatives against any and all claims, demands, liabilities and reasonable expenses (including attorneys’ fees), related to or otherwise connected with (i) any breach by the Funds of any provision of this Agreement; or (ii) any action by a Fund’s Shareholder against FSSC. (b) FSSC shall not be liable for any error of judgment or mistake of law or for any loss suffered by any Fund in connection with the matters to which this Agreement relates, except a loss resulting from willful misfeasance, bad faith or gross negligence on its part in the performance of its duties or from reckless disregard by it of its obligations and duties under this Agreement. In no event shall FSSC be liable for indirect or consequential damages. (c) Any person, even though also an officer, trustee, partner, employee or agent of FSSC, who may be or become an officer, employee or agent of any Fund or a member of a Fund's Board, shall be deemed, when rendering services to such Fund or acting on any business of such Fund (other than services or business in connection with the duties of FSSC hereunder) to be rendering such services to or acting solely for such Fund and not as an officer, trustee, partner, employee or agent or one under the control or direction of FSSC even though paid by FSSC. (d) FSSC is expressly put on notice of the limitation of liability as set forth in the Declaration of Trust of each Fund that is a Massachusetts business trust and agrees that the obligations assumed by each such Fund pursuant to this Agreement shall be limited in any case to such Fund and its assets and that FSSC shall not seek satisfaction of any such obligations from the Shareholders of such Fund, the Trustees, Officers, Employees or Agents of such Fund, or any of them. (e) The provisions of this Section shall survive the termination of this Agreement.
