Consent; Release. The County consents to the transfer of the Property from Assignor to Assignee in accordance with Section 7.7 of the Loan Agreement. The County releases and discharges Assignor from any and all obligations, duties and liabilities owed to the County under the Loan Documents and accepts the obligations, duties and liability of Assignee under the Loan Documents in lieu of the obligations, duties and liabilities of Assignor.
Consent; Release. Each Lender that delivers an executed counterpart of this Amendment in the form of a Lender Addendum hereby consents to this Amendment and approves of the form of the Amended Credit Agreement and the restatement of the Credit Agreement. By delivery of an executed counterpart of this Amendment, the Administrative Agent, the Collateral Agent and the Borrower consents to this Amendment and approves of the form of the Amended Credit Agreement and the restatement of the Credit Agreement. Without limitation to the foregoing, each Lender and Agent party hereto hereby consents to (i) the release of Iniciativas Culturales de España S.L. from its obligations as the Foreign Subsidiary Borrower (including the termination of any commitment to lend to such entity as a borrower by any Lender), (ii) the termination of the Foreign Obligations, (iii) the release of each Credit Party from any Foreign Obligations, (iv) the release of each Foreign Obligations Collateral from the Liens created under any Security Document (including for the avoidance of doubt the Foreign Obligations Guarantee and the Foreign Obligations Security Agreements) and the termination of any such Lien, (v) the release of the Foreign Obligations Credit Parties from any other Obligation not explicitly stated to survive termination of the Foreign Obligations or not contained in the Security Documents in effect after giving effect to the Effective Date, and (vi) the releases provided for in this Amendment, in each case as provided and pursuant to the terms of this Amendment. Each Lender hereby authorizes the Administrative Agent and the Collateral Agent to execute, deliver, file or take other action with respect to any document, instrument, filing or other act reasonably required to effect the foregoing.
Consent; Release. As a condition precedent to Filming, University and Company agree that an informed, written consent/release is required from all patients, patient’s family members or friends, visitors, volunteers, students, physicians, faculty, and staff members who may be identified or identifiable in the Picture. Company agrees to indemnify the University, its officers, agents, employees, students, and invitees from and against any liability arising from Company’s failure to comply with this condition precedent. Company agrees to obtain required written consent/releases consistent with this Paragraph prior to Filming any person.
Consent; Release. You irrevocably grant to Zolve the right to film, tape, record, and photograph you at Xxxxx’s expense and to reproduce and distribute copies of the material created (the “Photographs''), including but not limited to in and in connection with materials related to audio-visual projects currently in existence or that may be created in the future and also in the advertising, marketing, and promotion relating to such materials and/or relating to Zolve. You grant a worldwide, royalty-free, exclusive, irrevocable license to Zolve for use of the Photographs depicting you as well as your name, likeness, voice, and/or biographical information (collectively, with the Photographs, “Ambassador’s Likeness”); such license shall allow Zolve to reproduce, adapt, distribute, transmit, publicly display, publicly perform, publish, and other wise use and reuse Ambassador’s Likeness, in whole or in part, in any media now known or yet to be developed, including without limitation, in electronic and digital format, on Internet websites, and in printed materials. Zolve has no duty to use Ambassador’s Likeness in any manner; use of Ambassador’s Likeness is at the sole discretion of Zolve. You waive any right you may have to inspect or approve of Xxxxx’s use of Ambassador’s Likeness. You release Zolve, its officers, directors, representatives, agents, employees, affiliates, successors and assigns from any liability whatsoever in connection with or relating to Ambassador’s Likeness, in whole or in part, including without limitation, claims under federal copyright law or any other federal or state law, including the laws of the right to privacy and/or right of publicity.

The County releases and discharges Assignor from any and all obligations, duties and liabilities owed to the County under the County Contract and accepts the obligations, duties and liability of Assignee under the County Contract in lieu of the obligations, duties and liabilities of Assignor. Consent; Release. The Saks Parties hereby consent to Household Bank’s delegation of the Delegated Obligations and agree that HFC shall be solely liable for the performance of the Delegated Obligations in accordance with the terms of the Transaction Documents. The Saks Parties hereby release Household Bank from the Delegated Obligations.
Consent; Release. The Company hereby consents to the foregoing assignment and delegation by the Assignor to the Assignee and to the foregoing assumption by the Assignee. The Company hereby remises, releases and forever discharges (i) the Assignor from any and all liability and obligation under the Rights Agreement arising out of events occurring from and after the effective date of this Assignment and (ii) the Assignee from any and all liability and obligation under the Rights Agreement arising out of events occurring before the effective date of this Agreement.
Consent; Release. Contingent upon Borrower's fulfillment of all of the conditions to the effectiveness of this Amendment, Xxxxx Fargo hereby: (a) consents to the sale by Borrower of certain oil and gas properties (the "Sale Properties"), which Sale Properties have been identified by Borrower's prior delivery of their descriptions to Xxxxx Fargo, indicating that Borrower desires to sell the same, and (b) agrees to execute and deliver to Borrower appropriate mortgage releases covering the Sale Properties.
Consent; Release a) The Artist/Contractor consents to their interview(s), photography, videotaping and their subsequent release, publication, exhibition, or reproduction to be used for public relations, news articles, telecasts, education, advertising, research, inclusion on MBRIT’s website, fundraising, or for any other purpose MBRIT at its discretion may utilise.
