Context and Term. Context of this Agreement This Agreement is made between Your Organisation and the Commonwealth, represented by the Department, for the performance of each Activity specified in the Schedule to this Agreement. This Agreement consists of: the Covering Letter; these Terms and Conditions; the Schedule, including any Supplementary Conditions specified in Annexure A to the Schedule; and any documents incorporated by reference into these Terms and Conditions or the Schedule. Provisions regarding the interpretation of this Agreement are contained in clause 11 [Interpretation]. In this Agreement, certain words and phrases have defined meanings. They are indicated by initial capital letters (for example, ‘Activity’). Where a defined word or phrase is used only in one clause of these Terms and Conditions or only in a Supplementary Condition, it is usually defined in that clause or Supplementary Condition. All other definitions used in these Terms and Conditions are set out in clause 11.4 [Definitions] of these Terms and Conditions. Compliance with Supplementary Conditions Your Organisation must, in Your Organisation’s performance of an Activity, comply with any Supplementary Conditions for that Activity. Term of the Agreement This Agreement commences on the Commencement Date and, unless terminated earlier, it expires on the Completion Date. Your Organisation’s responsibilities Conduct of the Activity Your Organisation must carry out each Activity in accordance with this Agreement and any Guidelines for the Activity and: within its Activity Period and so as to meet the Milestones and other timeframes specified in the Schedule for that Activity; diligently, efficiently, effectively and in good faith to a high standard and so as to achieve the Aim of the Activity and assist in meeting the Programme’s Objectives; and so as to ensure that Your Organisation and Your Organisation’s Personnel comply with: all applicable Laws, including maintaining all qualifications, permits, registrations and licences required for the lawful performance of the Activity; any codes of ethics, regulations or other industry standards relevant to the Activity; and any Department or Commonwealth policy of which the Department gives Your Organisation notice.   • Appointment and Term The Members will be entitled to appoint from time to time persons to serve as the managers (each, a "Manager") on the Board of Managers. Managers will serve until their respective successors are appointed by the Members, as provided under Section 4.11 herein, or until their earlier death, disability, resignation, retirement or removal, pursuant to Section 4.10 herein. The Landlord reserves unto itself a non-exclusive, perpetual Public Access Easement, to run with the land, as shown on Exhibit A, for itself and for public pedestrian access, said access to remain open, clear and unobstructed at all times except as may be otherwise agreed to in writing by the Landlord. Tenant agrees that its rights under the Revised Ice Harbor Parking Agreement for Ice Harbor Urban Renewal District are terminated upon execution of this Agreement. Landlord hereby grants to Tenant, its management employees and patrons during the term of this Agreement the non-exclusive privilege to park in Parking Lots 1 and 2 shown on Exhibit A at no additional charge (other than the rent herein) to Tenant, its management employees or patrons. Tenant agrees that Tenant will require that all of its employees shall park only in parking lots owned by Tenant or in a city-owned parking garage. Landlord hereby grants to Tenant permission, subject to such other permission as may be required by any other governmental entity, to construct a two-story (not to exceed the height of the existing portside facility) barge (as defined by Iowa Code Chapter 99F (2005)) to extend not more than the maximum permitted by the United States Coast Guard and/or the United States Army Corps of Engineers but in no event more than 150 feet from Tenant’s current dock facility into the Ice Harbor. Landlord agrees to cooperate with and support Tenant’s application to other governmental entities for any required permission for such barge. In the event Tenant constructs such barge, the area upon which such barge is located shall become a part of the Leased Premises.

  • Term of Agreement and Termination 2.1. This Agreement enters into effect at the time of acceptance of this Agreement.

  • Amendment and Termination No amendment, modification, termination or cancellation of this Agreement shall be effective unless it is in writing signed by both the parties hereto. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar) nor shall such waiver constitute a continuing waiver.

  • Effective Date and Term This Agreement shall become effective upon execution by the Parties, and remain effective until all equity interests held by Party B in Party C have been transferred or assigned to Party A and/or any other person designated by Party A in accordance with this Agreement.

  • Commencement and Termination 10.1 This Agreement shall be effective as of the date hereof and shall continue in force until terminated in accordance with the provisions herein.

  • Effective Date and Term of Agreement This Agreement is effective and binding on the Company and Employee as of the date hereof; provided, however, that, subject to Section 2(d), the provisions of Sections 3 and 4 shall become operative only upon the Change in Control Date.
