Continuing Service Fees. During the Term, DSI will pay a continuing service fee (“Continuing Service Fee”) on certain DIRECTV SMATV Programming to each DSI MSO Dealer Property per month, as set forth on Schedule 2.2(b) attached hereto, subject to the restrictions, chargeback terms and changes described in Sections 2.2(c), 2.2(d) and 2.2(e). Continuing Service Fees. In consideration of Nucentrix's continuing support of promotion and advertising designed to acquire new Converted Subscribers, as well as Nucentrix's continuing service to Converted Subscribers from whom it procures approved activations for which a PCC is payable hereunder, DIRECTV shall pay Nucentrix "***" in connection with a DIRECTV Programming Package ("Continuing Service Fees"). For purposes of this Agreement, no Continuing Serve Fees shall be payable in connection with sports subscriptions, pay-per-view movies and events, taxes, fees assessed against an account (e.g., mirroring fees, late fees, change of service fees, etc.) or any other non-DIRECTV Programming Package fees. Nucentrix acknowledges that Continuing Service Fees are not deferred commissions or otherwise paid for Nucentrix's procurement of Converted Subscribers, but instead are paid for Nucentrix's continuing support of future Converted Subscriber acquisition efforts and Nucentrix's continuing services to Converted Subscribers after the initial order for DIRECTV Programming Package. Accordingly, DIRECTV's obligation to pay Continuing Service Fees shall terminate upon the earliest to occur of any of the following events, as they relate to each applicable Converted Subscriber: (a) the termination of the Converted Subscriber for any reason; or (b) the disconnection of the Converted Subscriber for any reason, for any period of thirty (30) days or more; or (c) the termination of this Agreement for Nucentrix's material breach; or (d) three (3) years after the approved activation of the Converted Subscriber.
Continuing Service Fees. In consideration of Sales Agent's continuing support of promotion and advertising designed to acquire new Subscribers, as well as Sales Agent's continuing service to Subscribers from whom it procures Approved Activations for which a Prepaid Programming Commission is payable hereunder ("Qualifying Subscribers"), DIRECTV shall pay Sales Agent fees ("Continuing Service Fees") based upon certain payments received by DIRECTV from such Qualifying Subscribers, in the amounts and upon the terms and conditions set forth in the Continuing Service Fee Schedule attached hereto as Exhibit D. Sales Agent acknowledges that Continuing Service Fees are not deferred commissions or otherwise paid for Sales Agent's procurement of Approved Activations or Subscribers, but instead are paid for Sales Agent's continuing support of future Subscriber acquisition efforts and Sales Agent's continuing services to Qualifying Subscribers after the initial Order. Accordingly, DIRECTV's obligation to pay Continuing Service Fees shall terminate upon the earliest to occur of any of the following events, as they relate to each applicable Subscription: (a) the termination of the Subscription for any reason; or (b) the disconnection of the Subscription for any reason, for any period of thirty (30) days or more; or (c) the termination of this Agreement for any reason; or (d) 5 years after the Approved Activation of the Subscription.

Accordingly, Pegasus's obligation to pay Continuing Service Fees shall terminate upon the earliest to occur of any of the following events, as they relate to each applicable Converted Subscriber: (a) the termination of the Converted Subscriber for any reason; or (b) the voluntary or involuntary disconnection, suspension, discontinuance or downgrade of the Converted Subscriber's DIRECTV core Programming Package below Total Choice for any reason, for any period of thirty (30) days or more; or (c) the termination of this Agreement for Nucentrix's material breach; or (d) three (3) years after the approved activation of the Converted Subscriber.

  • Service Fee In consideration of the administrative support services provided by a Recipient, the Distributor shall make service fee payments to that Recipient quarterly or at such other interval as deemed appropriate by the Distributor, within forty-five (45) days of the end of each calendar quarter or other period, at a rate not to exceed 0.25% on an annual basis of the average during the period of the aggregate net asset value of Shares, computed as of the close of each business day, constituting Qualified Holdings owned beneficially or of record by the Recipient or by its Customers for a period of more than the minimum period (the “Minimum Holding Period”), if any, that may be set from time to time by a majority of the Independent Trustees. Alternatively, the Distributor may, at its sole option, make the following service fee payments to any Recipient, within forty-five (45) days of the end of each calendar quarter or at such other interval as deemed appropriate by the Distributor: (i) “Advance Service Fee Payments” at a rate not to exceed 0.25% of the average during the calendar quarter or other period of the aggregate net asset value of Shares, computed as of the close of business on the day such Shares are sold, constituting Qualified Holdings, sold by the Recipient during that period and owned beneficially or of record by the Recipient or by its Customers, plus (ii) service fee payments at a rate not to exceed 0.25% on an annual basis of the average during the period of the aggregate net asset value of Shares, computed as of the close of each business day, constituting Qualified Holdings owned beneficially or of record by the Recipient or by its Customers for a period of more than one (1) year. In the event Shares are redeemed less than one year after the date such Shares were sold, the Recipient is obligated to and will repay the Distributor on demand a pro rata portion of such Advance Service Fee Payments, based on the ratio of the time such Shares were held to one (1) year. The administrative support services to be rendered by Recipients in connection with the Accounts may include, but shall not be limited to, the following: answering routine inquiries concerning the Fund, assisting in the establishment and maintenance of accounts or sub-accounts in the Fund and processing Share redemption transactions, making the Fund’s investment plans and dividend payment options available, and providing such other information and services in connection with the rendering of personal services and/or the maintenance of Accounts, as the Distributor or the Fund may reasonably request.

  • Administrative Support Service Fees Within forty-five (45) days of the end of each calendar quarter, the Fund will make payments in the aggregate amount of 0.0625% (0.25% on an annual basis) of the average during that calendar quarter of the aggregate net asset value of the Shares computed as of the close of each business day (the "Service Fee"). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Services Fees The Fees are stated on the Stripe Pricing Page, unless you and Stripe otherwise agree in writing. Stripe may revise the Fees at any time.   • Service Charges No service charge shall be made for any exchange or registration of transfer of Warrants.

  • Services Fee 5.1 The Transmission Services performed by TSO to Network User under this Standard Transmission Agreement are subject to the applicable Services fee calculated in accordance with attachment A of the Access Code for Transmission. In the event of any modification to the Regulated Tariffs, the Total Monthly Fee(s) and the Total Monthly Self-billing Fee(s) provided for in this Article 5.1 shall be adapted as from the calendar day of the entering into force of the modifications.

  • Compensation for Additional Services Additional Services shall be compensated as set forth on Exhibit A for the stipulated payment amounts set forth therein. Other Additional Services not set forth on Exhibit A that are required or requested by the Owner shall be compensated as agreed, using the methodology set forth on Exhibit A, prior to the Design Professional undertaking such Additional Services; provided, however, that if such compensation cannot be agreed, the Additional Services shall be performed at the hourly rates set forth and listed in Exhibit B, plus reimbursable expenses pursuant to Article 4.1.3 below, with a limitation as to maximum amount specified.
