Continuing Support. Licensee may decline to install an update or upgrade Licensor offers. In such event, Licensor shall continue the Maintenance Services for whatever version of the Software that is installed at Licensee, subject to Licensor's right to terminate this Maintenance agreement as permitted in article 2.3
Continuing Support. Unless terminated by Agilent pursuant to Section 2.2 due to an uncured material breach by LipoScience, Agilent agrees to provide the support set forth in Section 9.2 for a period of [ * * * ] following the last date of shipment of an NMR Subsystem, provided that LipoScience shall be obligated to pay Agilent for such services as set forth above.
Continuing Support. Lilly may decline to install an Update or Upgrade offered by Licensor. In such event. Licensor shall continue the Maintenance Services for the most current Version of the Software and the immediately preceding Version. For an additional annual fee equal to *, for such extended support ("Extended Support Fee"), Licensor shall continue the Maintenance Services for whatever version of the Product that is installed at Lilly, subject to Licensor's right to terminate this Maintenance Agreement as permitted in Section 2.3
Continuing Support. Provider will provide Maintenance for the current version and one prior version of the Product only, exclusive of any reported or known Errors pending corrective action. Once a new release has been made generally available, the Client should convert to the latest release in order to ensure uninterrupted service and continued support. 3.8.
Continuing Support. For a period of twelve months following the Closing Date, Seller shall use its best efforts to provide reasonable access to all of Seller's employees, other than the Newco Employees, who provided services to the Business or in connection with the Business at any time during the eighteen months prior to the Closing Date. Such access shall be for the purpose of assisting Purchaser in the integration of Newco and the Operating Assets into Purchaser's business. In no event will Seller be obligated to provide access to such employees of Seller if such access would result in occupation of greater than one week of each such employee's time.
Continuing Support. Notwithstanding the foregoing, if AMAC is not in breach of any material provision of this Agreement, AMAC shall have the right to continue to provide Product support services to its Clients and third party distribution channels existing at the termination or expiration of this Agreement and LIFECOMM shall continue to facilitate the provision of the LIFECOMM Connectivity Service for a period of [***] thereafter, subject to LIFECOMM’s ability to obtain such services from the Wireless Carrier during this period.
Continuing Support. IEEE will provide the following continuing support to Licensee:
Continuing Support. The Assignor shall, at its own expense, promptly execute and deliver to the Assignee all documents (in particular all documents and/or titles incorporating the Assigned Receivables, if any such documents and/or titles exist), declarations, certificates, registrations, filings and other instruments and shall take all actions necessary or that the Assignee may reasonably request, in order to create, perfect, maintain and protect the Security Interests created hereby (including instigating legal proceedings to ensure the existence, enforceability and value of the Assigned Receivables) and the Assignor shall assist the Assignee in exercising and enforcing the rights and remedies of the Assignee, as Collateral Agent, for the benefit and on behalf of the Secured Parties under this Agreement with respect to the Collateral. In particular, the Assignor undertakes to allow the Assignee to review the books and other documents EXECUTION COPY SWISS SECURITY AGREEMENT the Assignee deems necessary for the purpose of verifying the existence and value of the Collateral, provided that any such review shall be conducted during normal business hours and in a manner which is not disruptive to the business of the Assignor.
Continuing Support. Wherify agrees, provided the Software and/or any related component(s) are discontinued, to offer for sale to Siemens during the Term and for five years following the delivery to a Customer (excluding Orders for replacement or repair parts only) to provide: (i) field service and assistance as necessary; (ii) functionally equivalent software and any related components; (iii) correction or support Location Services for the Software and any related components, at the price set forth in the then current Attachment G: Wherify’s Price List, or, if no agreement is in effect then at a price agreed to by Siemens; and (iv) updates, patches, and/or fault corrections for Software at no additional charge. If the Parties fail to agree upon a price, the price shall be the lesser of Wherify’s then current price for said Software and any related components and parts, or, a negotiated price which is in accordance with Section 13.2. The Software and any related components shall be warranted as set forth in Article 16:
Continuing Support. Following expiration of the Warranty Period, Adobe will provide continuing support services to OEM in accordance with its standard Continuing Support Agreement, once executed by the parties, at its then current OEM rate for such services. OEM agrees that all contact regarding warranty and Continuing Support services shall be handled through a designated person from OEM who shall direct requests for Continuing Support services through Adobe's designated technical contact. For purposes of the Continuing Support Agreement, "Licensed System" shall mean the Adobe Software and Coded Font Programs.
