CONTRACTUAL BASELINE. The Incubatee is a start-up company in the early stage development of its commercial enterprise, applying space technology or systems to non- space applications, including industrial, scientific and commercial uses (“spin-off”) or using non space technology for proposing products and services for the space sector (spin-in”). As a start-up company the Incubatee requires business development support, technical and commercial advice and marketing expertise to be able to commercialise its product or service through: - developing its commercial focus; - enhancing or creating its business plan; - elaborating on its business outline proposal; - making relevant use of Third Party advisors; - establishing a sound financial, commercial and marketing model; and - performing additional technical activities, functional to the above activities as required.
CONTRACTUAL BASELINE. In some cases the Incubatee product or service may be based on transfer of a technical system/solution to a non-space environment. As a start up company the Incubatee requires business development support, technical and commercial advice and marketing expertise to be able to commercialise its product or service through: - developing its commercial focus; - enhancing or creating its business plan; - elaborating on its business outline proposal; - making relevant use of Third Party advisors; - establishing a sound financial, commercial and marketing model; and - performing additional technical activities, functional to the above activities as required.
CONTRACTUAL BASELINE. The Incubatee shall perform the Activity in accordance with the following applicable documents listed hereunder in order of precedence:

1.2.2 The Agency’s Standard Requirements for Management, Reporting, Meetings and Deliverables as set out in Appendix 1;
1.2.3 The Tenancy Agreement;
1.2.4 The Minutes of the negotiation meeting held on , not attached hereto but known to both parties;
1.2.5 The Incubatee’s Business Activity Proposal, dated , not attached hereto but known to both Parties.

CONTRACTUAL BASELINE. 3.1 The work shall be performed in accordance with the specific Articles of this Agreement, its Annexes as well as with the applicable documents called out therein, applicable in whole, or in part, to the extent quoted or relevant, and all of which, in their latest agreed issue, are defined as the contractual baseline of the Agreement, and referred to either as such or as " Framework Agreement", or "Contract", unless otherwise expressly stated.
3.2 Within this contractual baseline, the order of precedence, in case of conflict or for the sake of interpretation, shall be:
a. This Contract and its Annexes including the Scope of Work/Terms of Reference and related Annexes
b. Each subsequent Work Order placed including its associated Statement of Work
c. The Contractors Proposal for the Framework Agreement
d. The Contractors Proposal for each Work Order
CONTRACTUAL BASELINE. The work shall be performed in accordance with the specific articles of this Contract and with the following Appendices, which constitute an integral part hereof and are listed in order of precedence in case of conflict: - Appendix A: Financial Appendix; - Appendix B: General Clauses and Conditions for ESA Contracts, ref. ESA/C/290, rev. 6, as amended by Article 8 hereunder; - Appendix C: Appendix Ca: Contractual Baseline Documents List (CBDL) ref. GS4.ASG.UVN.LI.00000. The CBDL herein includes the latest issue of the Astrium's Sentinel-4 / UVN Statement of Work for Phase B, C/D and E and its Appendices as well as any other applicable document to this contract. The CBDL defines also the order of precedence of these documents. Appendix Ca is further complemented by the Minutes of Meeting included in Appendix Cb hereinafter. Appendix Cb: Minutes of Meeting ref. xxxxxxxxxxxx, not attached herein but known to both Parties. - Appendix D: (not applicable to this contract)
CONTRACTUAL BASELINE. The Incubatee shall perform the Activity in accordance with the following applicable documents listed hereunder in order of precedence:

1.2.4 The Minutes of the negotiation meeting held on the 26.9.2017 , not attached hereto but known to both parties;
1.2.5 The Incubatee’s Business Activity Proposal, Ref. ………1-2017 , dated…….11.5.2017…………, Version …….1 (amended) , not attached hereto but known to both Parties.
CONTRACTUAL BASELINE. The Incubatee shall perform the Activity in accordance with the following applicable documents listed hereunder in order of precedence:

1.2.2. The Agency’s Standard Requirements for Management, Reporting, Meetings and Deliverables as set out in Appendix I;
1.2.3. Tenancy Agreement: the Regional Incubator contract, i.e. between SPG or accent Inkubator and the Incubatee, including the Service Agreement;
1.2.4. The Minutes of the Negotiation Meeting held on the [XXX], not attached hereto but known to both parties;
1.2.5. The Incubatee’s Business Activity Proposal, reference [XXX], dated [XXX], version [XXX], not attached hereto but known to both Parties
CONTRACTUAL BASELINE. 2.1 The work shall be performed in accordance with the following documents, including any Applicable Documents as defined therein, which constitute an integral part hereof and are listed in their order of precedence in case of conflict (reference to the following documents includes all amended and replacement versions which may supersede such documents from time to time):
2.1.1 the Articles of the Contract; * Portions of this document marked with **** have been omitted pursuant to a request for confidential treatment submitted with the SEC. The original contracts have been filed separately with the SEC as part of the confidential treatment request.
2.1.2 Financial Matters (Appendix 1);
2.1.3 the General Conditions, it being understood that the Operator is the Contractor in the sense of those General Conditions;
2.1.4 the Statement of Work ref. ASA.ESA.SW.SY.049 issue 02 dated 29/10/2007, including the Applicable Documents specified in its chapter 2.1 (Appendix 2);
2.1.5 the Alphasat Satellite System Requirements ref. INM-ASAT-SSRD;

2.2 The documents listed in paragraph 2.1 above shall form the contractual baseline; the issue and revision number as well as the date of each document listed in paragraphs 2.1.5, 2.1.6 and 2.1.7 above and any changes thereto shall be recorded in the Contractual Baseline Document List ref. ASA-ESA-LI-SY-142 issue 1 rev. 0 dated 29/1012007. Any change to the contractual baseline requires the signature of a Contract Change Notice.
