Control of Services. If Supplier is not punctual in arrival according to the schedule provided by Supplier to University, Supplier shall reimburse University for any additional costs incurred by University as a result of such tardiness (e.g., facilities maintenance services, electrician’s fees, etc.). If Supplier fails to appear for the Services, Supplier shall reimburse University for all bona fide costs related to the event and this Agreement will be voidable by University. Notwithstanding the foregoing provisions of this Agreement, if the Supplier fails to perform to the specifications of this Agreement, payment may be reduced or withheld by University. Supplier will control the details and manner of the Services but it is agreed to and understood that University shall have the right to direct Supplier to discontinue any activity constituting violation of a university policy, state statute, applicable ordinances, direction of lawful authority, or, if University determines, in its sole discretion, that the Services is disruptive to the normal functions of the university. Such discontinuation shall not be considered a breach of this Agreement.
Control of Services. Notwithstanding anything to the contrary in this Agreement, GP, for itself and for MPL and the MPL Affiliated Entities, shall at all times have exclusive authority to manage and control the business and operations of MPLS. In connection with managing and controlling the business and operations of MPLS, the provision of the Services shall be under the ultimate direction, control and supervision of GP.
Control of Services. The method and means of providing the Services shall be under the exclusive control, management, and supervision of Service Provider, giving due consideration to the requests of Customer.

CMC may, in its sole discretion (a) reengineer CMC Network components and/or change locations where services are performed; (b) perform its obligations through Its subsidiaries or affiliates, or through the use of selected Independent subcontractors; and (c) modify and/or replace technology or service architectures relating to the CampusVue SaaS.

Municipal law imposes an 11 p.m. sound amplification curfew Sunday through Thursday and 12 a.m. sound amplification on Friday and Saturday curfew on all outdoor, on-campus live performances at Rutgers University, New Brunswick/Piscataway campuses. There are also a 10 p.m. sound amplification curfew on the Newark campus and a 10 p.m. sound amplification curfew on the Camden campus. The Supplier shall end the Services before or by the curfew time.
Control of Services. Healthy Gamer shall determine the time, place, method, details, and means of performing the Coaching Services.

Control of Services. Trainer shall determine the method, details, and means of performing the Services. School agrees to furnish any facilities, personnel and equipment necessary to facilitate Trainer's providing of Services.
Control of Services. This Agreement shall not be construed as constituting either Party as partner of the other or to create any other form of legal association that would impose liability upon one Party for the act or failure to act of the other or as providing either Party with the right, power or authority (express or implied) to create any duty or obligation of the other Party. Each Party shall be responsible for the management, direction and control of its employees and such employees shall not be employees of the other Party. Each Party will submit to the other Party all advertising, written sales promotion, press releases and other publicity matters relating to this Agreement in which the other Party's name or mark xx mentioned or language from which the connection of said name or mark xxx xx inferred or implied, and will not publish or use such advertising, sales promotion, press releases, or publicity matters without prior written approval of the other Party. However, either Party may include the other Party's name and a factual description of the work performed under this Agreement on employee bulletin boards, in its list of references and in the experience section of proposals to third parties, in internal business planning documents and in its annual report to stockholders, and whenever required by reason of legal, accounting or regulatory requirements.
