Cooperation — General. A. The Parties agree to:  Cooperate in the acquisition of property that is necessary for the development of the Port of Fort Xxxxxx; and  Cooperate in the development of master plans for the Port of Fort Xxxxxx; and  Cooperate in the implementation of the approved Port master plan; and  Schedule joint meetings between the governing bodies as needed but not less than annually to discuss items of interest related to the Port of Fort Xxxxxx
Cooperation — General. Each of the parties agrees to use its best efforts to cooperate with the other in the preparation and filing of all forms, notifications, reports and information, if any, required or deemed advisable pursuant to any law, rule or regulation, and to use their respective best efforts to agree jointly on a method to overcome any objections by any Governmental Authority to the transactions hereunder.
Cooperation — General. Each of the parties agrees to use its commercially reasonable efforts to cooperate with the other in the preparation and filing of all forms, notifications, reports and information, if any, required or deemed advisable pursuant to any law, rule or regulation in connection with the transactions contemplated by this Agreement, and to agree jointly on a method to overcome any objections by any Governmental Authority to any such transactions.
Cooperation — General. Each of the parties agrees to use reasonable best efforts to cooperate with the other in the preparation and filing of all forms, notifications, reports and information, if any, required or reasonably deemed advisable pursuant to any law, rule or regulation, the rules of Nasdaq (or any exchange on which the Kellxxxxx Xxxmon Stock may be listed) or the National Association of Securities Dealers, Inc. in connection with the transactions contemplated by this Agreement, and to use their respective best efforts to agree jointly on a method to overcome any objections by any Governmental Authority to any such transactions.

Related to Cooperation — General

  • General Cooperation (a) The Parties shall each cooperate fully (and each shall cause its respective Subsidiaries to cooperate fully) with all reasonable requests in writing (“Information Request”) from another Party hereto, or from an agent, representative or advisor to such Party, in connection with the preparation and filing of Tax Returns (including the preparation of Tax Packages), claims for Refunds, Tax Proceedings, and calculations of amounts required to be paid pursuant to this Agreement, in each case, related or attributable to or arising in connection with Taxes of any of the Parties or their respective Subsidiaries covered by this Agreement and the establishment of any reserve required in connection with any financial reporting (a “Tax Matter”). Such cooperation shall include the provision of any information reasonably necessary or helpful in connection with a Tax Matter (“Information”) and shall include, without limitation, at each Party’s own cost:

  • Information/Cooperation Executive shall, upon reasonable notice, furnish such information and assistance to the Bank as may be reasonably required by the Bank, in connection with any litigation in which it or any of its subsidiaries or affiliates is, or may become, a party; provided, however, that Executive shall not be required to provide information or assistance with respect to any litigation between Executive and the Bank or any other subsidiaries or affiliates.

  • Assistance and Cooperation After the Closing Date, each of Seller and Purchaser shall:

  • Litigation Cooperation From the date hereof and continuing through the termination of this Agreement, make available to Bank, without expense to Bank, Borrower and its officers, employees and agents and Borrower’s books and records, to the extent that Bank may deem them reasonably necessary to prosecute or defend any third-party suit or proceeding instituted by or against Bank with respect to any Collateral or relating to Borrower.

  • Notice and Cooperation Each Party shall provide to the other Party prompt written notice of any actual or threatened infringement of the Product Trademarks in the Territory and of any actual or threatened claim that the use of the Product Trademarks in the Territory violates the rights of any Third Party. Each Party agrees to cooperate fully with the other Party with respect to any enforcement action or defense commenced pursuant to this Section 7.7.
