Cooperation of Company. The Company will on request give to Licensor or its authorized representative any information as to its use of the Licensor Trademarks which Licensor may require and will render during the Term any assistance reasonably required by Licensor in registering and maintaining the registrations of the Licensor Trademarks.
Cooperation of Company. In the case of any proposed Transfer under Section 2.1, the Company will use reasonable efforts to comply with any such applicable state securities or "blue sky" laws, but shall in no event be required, in connection therewith, to qualify to do business in any state where it is not then qualified or to take any action that would subject it to tax or to the general service of process in any state where it is not then Holdings Stockholders Agreement ------------------------------- 13 subject. The restrictions on Transfer contained in Section 2.1 shall be in addition to, and not by way of limitation of, any other restrictions on Transfer contained in any other section of this Agreement.
Cooperation of Company. If necessary, the Company agrees to (i) execute any documents (including new Promissory Notes) reasonably required to effectuate and acknowledge each assignment of a Commitment made pursuant to an Assignment and Transfer Agreement, (ii) make the Company’s management available, upon reasonable notice during normal business hours, to meet with the Agent and prospective participants and assignees of Commitments and (iii) assist the Agent or the Lenders in the preparation of information relating to the financial affairs of the Company as any prospective participant or assignee of a Commitment reasonably may request. Subject to the provisions of Section 12.7, the Company authorizes each Lender to disclose to any prospective participant or assignee of a Commitment, any and all information in such Lender's possession concerning the Company and its financial affairs which has been delivered to such Lender by or on behalf of the Company pursuant to this Financing Agreement, or which has been delivered to such Lender by or on behalf of the Company in connection with such Lender's credit evaluation of the Company prior to entering into this Financing Agreement.
Cooperation of Company. The Company undertakes to instruct its supervisory personnel to cooperate with the delegates in the carrying out of the terms and requirements of this Agreement, and the Union undertakes to secure from its officers, delegates, and members, their cooperation with the Company and with all persons representing the Company in a supervisory capacity.
Cooperation of Company. If necessary, Company agrees to (i) execute any documents (including new Promissory Notes) reasonably required to effectuate and acknowledge each assignment of a Loan to an assignee in accordance with Section 12.1, (ii) make Company’s management available to meet with RP and prospective participants and assignees of Credit Extensions (which meetings shall be conducted no more often than twice every twelve months unless an Event of Default has occurred and is continuing) during normal business hours and upon reasonable prior written notice (unless an Event of Default has occurred and is continuing), and (iii) assist RP or the Lenders in the preparation of information relating to the financial affairs of Company as any prospective participant or assignee of a Loan reasonably may request. Subject to the confidentiality provisions in Article 13, Company authorizes each Lender to disclose to any prospective participant or assignee of a Loan, any and all information in such Xxxxxx’s possession concerning Company and its financial affairs which has been delivered to such Lender by or on behalf of Company pursuant to this Agreement, or which has been delivered to such Lender by or on behalf of Company in connection with such Lender’s credit evaluation of Company prior to entering into this Agreement.
Cooperation of Company. If necessary, the Company agrees to execute any documents (including new Promissory Notes) reasonably required to effectuate and acknowledge each assignment of a Commitment made pursuant to an Assignment and Transfer Agreement. Subject to the provisions of Section 11.7, the Company authorizes each Lender to disclose to any prospective participant or assignee of a Commitment, any and all information in such Lender's possession concerning the Company, the Originators and their respective financial affairs which has been delivered to such Lender by or on behalf of the Company and the Originators pursuant to this Financing Agreement, or which has been delivered to such Lender by or on behalf of the Company in connection with such Lender's credit evaluation of the Company and the Originators prior to entering into this Financing Agreement.
Cooperation of Company. If a Transfer of Shares is otherwise in accordance with the provisions of this Agreement, the Company shall reasonably cooperate with the transferor and the proposed transferee in connection with seeking any approval required by the Gaming Laws to effectuate such Transfer.
Cooperation of Company. The Company agrees to comply with all reasonable requests of Consultant and provide reasonable access to all documents which are necessary for Consultant to carry out its duties described herein.
Cooperation of Company. Company agrees to comply with all reasonable requests of Contractor (and provide access to all documents reasonably) necessary to the performance of Contractor’s duties under this Agreement.
Cooperation of Company. Company shall take any and all actions of any kind or nature whatsoever, either directly or indirectly, that are necessary to prevent Investor from suffering a loss with respect to the Royalty Interest or any rights or remedies of Investor with respect to the Royalty Interest or this Amendment in the event of an Event of Default by Company under this Amendment.
