Corrupt Gifts. 16.1 Sellers shall not, and shall procure that their employees, agents and sub-contractors shall not, offer, solicit or accept an advantage as defined in the Prevention of Bribery Ordinance (Cap. 201 of the laws of Hong Kong) in connection with this Contract. 16.2 If the Seller or any employee or agent of the Seller or its sub-contractor (if any) shall be found to have committed an offence under the Prevention of Bribery Ordinance (Cap. 201) for the time being in force or any subsidiary legislation made thereunder or under any law of a similar nature in relation to its Standing Quotation or any other Contract, the Buyer may terminate the Contract and/or the Purchase Orders or any other contract without entitling the Seller to any compensation therefor and the Seller shall indemnify the Buyer against all costs, claims, damages, losses and expenses necessarily incurred or suffered by the Buyer as a result therefrom.
Corrupt Gifts. If the Service Provider or any employee or person acting on the Service Provider’s behalf offers or gives, to any person any gift or consideration of any kind as an inducement or reward for doing or refraining from doing, or for having done or refrained from doing, any act in relation to this Contract, or for showing favour or disfavour to any person in relation to this Contract or offers or gives any reward to any officer of the Probation Trust accepted or exacted by or from such officer under colour of his office or employment (and is otherwise than the officer's proper remuneration) the Probation Trust shall be entitled to determine this Contract and to recover from the Service Provider the amount of any loss resulting from such termination.
Corrupt GiftsThe Supplier shall not: offer or give, or agree to give, to any employee, agent, servant or representative of the Authority, any other public body or person employed by or on behalf of the Authority, or any other public body (each of which for the purposes of this Clause 6.4.4 shall be a "Relevant Person") any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Framework Agreement, any Call-Off Agreement or any other contract with any Relevant Person, or for showing or refraining from showing favour or disfavour to any person in relation to any such contract; enter into this Framework Agreement, a Call-Off Agreement or any other agreement with any Relevant Person in connection with which a financial incentive or package has been paid or has been agreed to be paid by the Supplier or on its behalf, or to its knowledge, unless before the relevant agreement is entered into particulars of any such financial incentive or package and of the terms and conditions of any such agreement for the payment of such financial incentive or package have been disclosed in writing to the Authority; commit any offences under the Prevention of Corruption Acts 1889 to 1916 or the Xxxxxxx Xxx 0000; or defraud or attempt to defraud or conspire to defraud any Relevant Person. The Supplier warrants and represents to the Authority that in entering into this Framework Agreement it has not done any of the things prohibited in Clause 9.1. Each time a Call-Off Agreement is entered into this warranty and representation shall be deemed to be repeated by the Supplier to the Authority and to the Contracting Body entering into the Call-Off Agreement with reference to the circumstances existing at the time that the warranty is deemed to be repeated. In the event of any breach of Clause 9.1 or of any warranty or representation given in or pursuant to clause 9.2 the Authority shall be entitled to terminate this Framework Agreement with immediate effect in accordance with Clause 15 (Termination on Corruption). Corrupt Gifts. 28.1 If the Seller or any employee or agent of the Seller shall be found to have committed an offense under the Prevention of Bribery Ordinance for the time being in force or any subsidiary legislation made thereafter or under any law of a similar nature in relation to this Invitation to Quote or any other Buyer’s contract, the Buyer may summarily cancel the order without entitling the Seller to any compensation thereof. 28.2 The Seller shall be liable for all expenses necessarily incurred by the Buyer as the result of the cancellation of the order.

Corrupt Gifts. 19.1 In connection with this or any other Contract between the Supplier and the Trust the Supplier shall not give, provide, or offer to the Trust’s staff and agents any loan, fee, reward, gift or any emolument or advantage whatsoever. In the event of any breach of this Condition, the Trust shall, without prejudice to any other rights the Trust may possess, be at liberty forthwith to terminate this and any other Contract and to recover from the Supplier any loss or damage resulting from such termination.

(b) The Permit Holder shall be liable for all expenses necessarily incurred by the Government as a result of the termination of the Agreement under this clause. (c) The Permit Holder shall not, whether by himself or by any person employed by him to provide the services, solicit or accept any gratuity, tip or any other form of money taking or reward, collection, or charge for any part of the services other than charges properly approved in writing by the Government Representative under the Agreement. The Permit Holder shall prohibit his employees and agents who are involved in this Agreement from offering, soliciting or accepting any advantage as defined in the Prevention of Bribery Ordinance (Cap. 201) when conducting business in connection with this Agreement. (d) The Permit Holder shall within fourteen (14) days after the commencement of the Agreement draw up and submit a staff code of conduct to the Government Representative including, among other probity issues, a statement explicitly prohibiting any person employed by him to provide the services from soliciting or accepting any form of advantages in discharging his duties under the Agreement. It shall ensure that any person employed by him to provide the services is well aware of the prohibited acts explicitly stated in Clause 38(c) and of the staff code of conduct. The code of conduct should form part of the employment contract to ensure acknowledgement and compliance by the employees.
