County GrantDeveloper shall submit documentation that is reasonably satisfactory to City evidencing that Developer has received approval for the County Grant from the County. Developer shall also provide copies of all draft loan documents and other instruments evidencing, securing or otherwise relating to the County Grant.
County Grant. Subject to the terms and conditions of this Agreement, the County shall provide PDC with an annual grant equal to the amount of its annual share of Shared Revenues due to the County as a taxing jurisdiction for each NPI District (“Granted Revenues”) for the Term (as hereinafter defined) of each NPI District.
County GrantThe County hereby grants the Grantees: a. $3,243,287.18
County GrantThe County shall grant to the Grantee a maximum total amount of $279,000 in HCD Grant funds (“County Grant”). Disbursement of the County Grant shall occur upon satisfactory receipt of copies of invoices and conditional (upon receipt of payment) lien releases for constructions costs to be paid with the proceeds of the County Grant. Any disbursement of funds is expressly conditioned upon the satisfaction of the County. County shall pay to Grantee on a “cost-as incurred” basis for all eligible approved costs. Unless an “Event of Acceleration” (as that term is defined herein) occurs prior to the expiration of the Affordability Period, (a) no interest shall accumulate on the County Grant, and (b) upon the expiration of the Affordability Period, the Agreement and the County Grant Documents shall be cancelled and the County Grant shall be deemed satisfied. The Declaration shall be recorded as a senior lien against the Property.

  • County The term COUNTY refers to the Board of County Commissioners of Lee County, a charter County and political subdivision of the State of Florida, and any official or employee duly authorized to act on the COUNTY'S behalf relative to this Agreement.

  • Federal and State Grant Awards No Board member shall participate in the selection, award, or administration of a contract supported by a federal award or State award governed by the Grant Accountability and Transparency Act (GATA) (30 ILCS 708/) if he or she has a real or apparent conflict of interest. A conflict of interest arises when a Board member or any of the following individuals has a financial or other interest in the entity selected for the contract:

  • LAW APPLICABLE AND COMPETENT COURT The Agreement is governed by [insert the national law of the NA]. The competent court determined in accordance with the applicable national law shall have sole jurisdiction to hear any dispute between the institution and the participant concerning the interpretation, application or validity of this Agreement, if such dispute cannot be settled amicably.

  • Agreement Made in California; Venue The formation, interpretation and performance of this Agreement shall be governed by the laws of the State of California. Venue for all litigation relative to the formation, interpretation and performance of this Agreement shall be in San Francisco.

  • The City Union, and employee may agree to waive the one (1) week notice as long as such waiver is in writing signed by all parties.

  • Courts If a Dispute is still unresolved following ten (10) Business Days after the Disputing Members attempted in good faith to resolve the Dispute in accordance with Section 11.02, then any of such Disputing Members may submit such Dispute to the Court of Chancery of the State of Delaware or, in the event that such Court does not have jurisdiction over the subject matter of such dispute, to another court of the State of Delaware or a U.S. federal court located in the State of Delaware (collectively, “Delaware Courts”). Each of the Members irrevocably submits to the exclusive jurisdiction of, and agrees not to commence any action, suit, or proceeding relating to a Dispute except in, the Delaware Courts and hereby consents to service of process in any such Dispute by the delivery of such process to such party at the address and in the manner provided in Section 13.01. Each of the Members hereby irrevocably and unconditionally waives any objection to the laying of venue in any Dispute in the Delaware Courts and hereby further irrevocably and unconditionally waives and agrees not to plead or claim in any such court that any action, suit, or proceeding brought in any such court has been brought in an inconvenient forum. EACH MEMBER IRREVOCABLY WAIVES, to the fullest extent permitted by applicable law, any right it may have to a TRIAL BY JURY IN ANY ACTION, suit, OR PROCEEDING arising out of, relating to or otherwise WITH RESPECT TO THIS AGREEMENT or any transaction contemplated hereby.

  • Situs The place of this Contract, its situs and forum, shall be North Carolina, where all matters, whether sounding in Contract or tort, relating to its validity, construction, interpretation and enforcement shall be determined.

  • COUNTY Discretion At the sole discretion of County, payments to Subrecipient may be made more frequently than monthly, but such payments shall always be in arrears and not in advance of the provision of services by Subrecipient.

  • County Project Manager The County shall appoint a Project Manager to act as liaison with Contractor during the term of this Contract. The County’s Project Manager shall coordinate the activities of the County staff assigned to work with the Contractor.
