Covenant Not To Solicit For Employment. During Executive’s employment by Lifecore, and for a period of 24 consecutive months from the date of termination of such employment for whatever reason (whether occasioned by Executive or Lifecore), Executive shall not, directly or indirectly, induce, solicit, endeavor to entice or attempt to induce any other officer, employee consultant or independent contractor of Lifecore to leave the employ of Lifecore, or to work for, render services or provide advice to, or supply confidential information of Lifecore to, any third person or entity, or to in any way adversely interfere with the relationship between any such officer, consultant or independent contractor and Lifecore.

Covenant Not To Solicit For Employment. For a period of one year from and after the Closing Date, each of Seller and Parent shall not, and shall cause each of its subsidiaries not to, solicit any director or officer of an Acquired Company or subsidiary of an Acquired Company or any of the other employees of the Acquired Companies and their respective subsidiaries set forth in Schedule 9.01 (such directors, officers and other employees, collectively, the "Covered Persons"); provided, however, that the foregoing provisions shall not apply to (i) a general advertisement or solicitation program that is not specifically targeted at the Covered Persons, (ii) the solicitation of any Covered Person whose employment by the applicable Acquired Company or subsidiary of an Acquired Company has been terminated or (iii) in the case of Covered Persons who are non-employee directors of an Acquired Company or a subsidiary of an Acquired Company, the solicitation of such persons who no longer hold such directorship.

Covenant Not To Solicit For Employment. (a) For a period of one year from and after the Closing Date, Seller shall not, and shall cause each of its affiliates not to, directly or indirectly, solicit or recruit any management-level employee of the Acquired Company or a subsidiary of the Acquired Company; provided, however, that the foregoing provisions shall not apply to (i) a general advertisement or solicitation program that is not specifically targeted at such persons or (ii) the solicitation of any management-level employee of the Acquired Company or a subsidiary of the Acquired Company whose employment by the Acquired Company or such subsidiary has been terminated.
Covenant Not To Solicit For Employment. For a period of forty two months from and after the Closing Date, (a) Seller shall not, and shall cause each of its subsidiaries not to, (i) solicit or accept for employment any Business Employee or Transferred Employee, nor (ii) encourage any Business Employee or Transferred Employee to leave the employment of Purchaser; provided, however, that the foregoing provisions shall not apply to a general advertisement or solicitation program that is not specifically targeted at such persons or to the solicitation or employment of any Business Employee that has been terminated by Purchaser; and (b) Purchaser shall not, and shall cause each of its subsidiaries not to, (i) solicit for employment any employee of Seller or its subsidiaries, or (ii) encourage any employee of Seller or its subsidiaries to leave the employment of Seller or such subsidiary; provided, however, that the foregoing provisions shall not apply to a general advertisement or solicitation program that is not specifically targeted at such persons or the solicitation or employment of any employee of the Seller or any subsidiary thereof that has been terminated by Seller or such subsidiary.
Covenant Not To Solicit For Employment. For a period of 18 months from and after the Closing Date, (a) Seller shall not, and shall cause its subsidiaries not to, solicit, recruit or hire any Transferred Employee or encourage any such Transferred Employee to leave Purchaser’s employment without the prior written consent of Purchaser, and (b) Purchaser shall not, and shall cause its subsidiaries not to, solicit, recruit or hire any Excluded Employee or employee of the Seller Group with whom Purchaser has had contact in connection with the Transactions or encourage any such Excluded Employee or employee of the Seller Group with whom Purchaser has had contact in connection with the Transactions to leave such Seller Group member’s employment, as applicable, without the prior written consent of Seller; provided, however, that this Section 6.13 shall not apply to (i) solicitation in the form of a general advertisement or solicitation program that is not specifically targeted at such individuals, or (ii) the employment of any person whose employment by the Business or Seller, as applicable, has been terminated prior to the commencement of employment discussions with the other party, or (iii) persons who are referred by a third party agency through a general search without direction by the Business or Seller, as applicable, to solicit employees of the other party.

  • Covenant Not to Solicit Employees The Executive agrees not to solicit the services of any officer or employee of the Employer for one year after the Executive’s employment termination.

  • Covenant Not to Solicit If the Executive is receiving payments and benefits under Section 2 above (or subsequently becomes entitled thereto because of a termination described in Section 2(a)(ii)), then, for a period of two (2) years following the Executive’s Termination Date, the Executive shall not: (i) solicit, encourage or take any other action which is intended to induce any other employee of the Company to terminate his employment with the Company; or (ii) interfere in any manner with the contractual or employment relationship between the Company and any such employee of the Company.   • Covenant Not to Solicit Customers During the Restricted Period, within the Territory Executive shall not, directly or indirectly, individually or on behalf of any other person or entity (other than a member of the Bank Group), offer to provide banking services to any person, partnership, corporation, limited liability company, or other entity who is or was (i) a customer of any member of the Bank Group during any part of the twelve (12) month period immediately prior to the Date of Termination, or (ii) a potential customer to whom any member of the Bank Group offered to provide banking services during any part of the twelve (12) month period immediately prior to the Date of Termination.

  • Covenant Not to Compete or Solicit (a) The Executive recognizes that the services to be performed by him hereunder are special, unique and extraordinary.   • Covenants Not to Compete and Not to Solicit In the event of the Executive's Termination of Employment, the Company's obligations to provide the payments and benefits set forth in Section 2 shall be expressly conditioned upon the Executive's compliance with the covenants not to compete and not to solicit as provided herein.
