Covenant Not to Solicit or Hire. During the term of this Employment Agreement and for a period of one (1) year from and after the date of termination of Employee's employment with Employer by Employer with or without cause, upon the resignation of Employee or upon the expiration of the term of this Employment Agreement, Employee agrees that he will not, directly or indirectly, hire, retain or solicit, or cause any other employer of his or any other person who has retained Employee as a consultant or independent contractor to hire, retain or solicit, as an employee, consultant, independent contractor in a supervisory capacity or otherwise any person who was at any time during the period commencing on the date three (3) months prior to the Commencement Date and ending on the date of the termination of Employee's employment hereunder, an employee of or consultant or independent contractor in a supervisory capacity to Employer, the LLC or any other gaming operations principally owned or controlled by Jack X. Xxxxxx.
Covenant Not to Solicit or Hire. For so long as the Employer is receiving Base Compensation and for a period of one (1) year from and after the last date on which any amount constituting Base Compensation is paid to Employee, Employee agrees that he will not, directly or indirectly, hire, retain or solicit, or cause any other employer of his or any other person who has retained Employee as a consultant or independent contractor to hire, retain or solicit, as an employee, consultant, independent contractor in a supervisory capacity or otherwise any person who was at any time during the period commencing on the date three (3) months prior to the Commencement Date and ending on the date of the termination of Employee's employment hereunder, an employee of or consultant or independent contractor in a supervisory capacity to Employer, the LLC or any other gaming operations principally owned or controlled by Jack X. Xxxxxx, Xxployer, or Employer's subsidiaries or related companies, including, but not limited to, the Existing Facilities or the To Be Acquired Facilities.
Covenant Not to Solicit or Hire. Unless otherwise expressly agreed to in writing, neither party shall, during the term of this Agreement and for a period of twenty-four (24) months thereafter, directly or through an Affiliate, directly or indirectly (a) encourage any employee of the other party in interest to leave his or her employment with the other party, (b) encourage customer or supplier of the other party or its successors in interest to terminate or adversely change such party's business relationship with the other party, (c) employ, hire, solicit or cause to be employed, hired or solicited (other than by the other party), or encourage others to employ or hire any person who within two (2) years prior thereto was employed by the other party, or (d) establish a business with, or encourage others to establish a business with, any person who within two (2) years prior thereto was an employee or supplier of the other party.

Covenant Not to Solicit or Hire. Each Party recognizes the expense and time associated with recruiting, hiring, training and maintaining employees. Each Party agrees that, except as consented to by the other Party in advance and in writing, it will not during the term of this Master Agreement or a period of 1 year thereafter directly or indirectly, solicit to reduce the relationship of the other Party’s employees to the other Party or hire for itself or on behalf of any Third Party, any of the other Party’s current employees or who were an employee of the other Party within the prior 12 months. Each Party agrees that the damages to be incurred by the other Party for a violation of this section are difficult to estimate; and accordingly, for any violation of this section by a Party or its Personnel damages may include costs to recruit and replace such solicited employee.

Covenant Not to Solicit or Hire. It is recognized and understood by the parties hereto that NST employees are an integral part of its business and that it is extremely important for NST to use its maximum efforts to prevent it from losing its employees. It is therefore understood and agreed by the parties hereto that, because of the nature of the NST business, you hereby agree to afford fair protection from the loss of any NST employees. Consequently, you covenant and agree that, for the period commencing on the Effective Date of this Agreement and ending three (3) years after complete termination of our Agreement, you shall not, directly or indirectly, hire, engage, or attempt to hire or engage any employee of NST or former employee of NST that was an employee during any term of our Agreement(s), whether for or on your behalf or for any entity in which you have a direct or indirect interest (or any subsidiary or affiliate), whether as a proprietor, partner, co-venturer, financier, investor or stockholder, director, officer, employer, employee, servant, agent, contractor, representative, or otherwise.
Covenant Not to Solicit or Hire. (a) Beginning on the Closing Date and ending on the third (3rd) anniversary of the Closing Date, neither Seller nor its Affiliates shall, directly or indirectly, without the prior written consent of Parent: (i) hire any employee of Parent or Buyer (including any Designated Employees) for employment by Seller or any of its Affiliates; or (ii) solicit any employee of Parent or Buyer (including any Designated Employees) to terminate his or her employment or consultancy with Parent or Buyer or any of their Affiliates; provided, however, that this Section 5.14(a) shall not prohibit Seller or any Affiliate of Seller from: (i) soliciting employees through, or hiring employees who respond to, general job advertisements or similar notices that are not targeted specifically at the employees of a party; or (ii) engaging any recruiting firm or similar organization to identify or solicit persons for employment on its behalf as long as such recruiting firm or organization is not instructed or otherwise informed to target any employee of Buyer.
(b) Beginning on the Closing Date and ending on the third (3rd) anniversary of the Closing Date, neither Parent, Buyer nor their Affiliates shall, directly or indirectly, without the prior written consent of Seller: (i) hire any employee of Seller (other than any Designated Employee) for employment by Parent, Buyer or any of their Affiliates; or (ii) solicit any employee of Seller (other than any Designated Employee) to terminate his or her employment or consultancy with Seller or any Affiliate of Seller; provided, however, that Section 5.14(b) shall not prohibit Parent, Buyer or any of their Affiliates from: (i) soliciting employees through, or hiring employees who respond to, general job advertisements or similar notices that are not targeted specifically at the employees of a party; or (ii) engaging any recruiting firm or similar organization to identify or solicit persons for employment on its behalf as long as such recruiting firm or organization is not instructed or otherwise informed to target any employee of Seller.
Covenant Not to Solicit or Hire. Except with the Vendor’s prior written permission, Customer agrees that during the term of this Agreement and for two (2) years thereafter, it will, whether for their own account or for the account of any other person or other business entity interfere with the Vendor’s relationship with or endeavor to entice away from, solicit or deal with any person or other business entity who or which at any time during the term of this Agreement was an employee, contractor, consultant or agent of the Vendor.
Covenant Not to Solicit or Hire. For so long as you are Employed by the Company and for one year thereafter, you agree not to hire, solicit or cause to be solicited for employment by any third party, any person who is as of the date of such solicitation or who was within the 12-month period prior to the date of such solicitation an employee of the Company or any subsidiary or affiliate of the Company.
