Covenant of Non-Disparagement. The parties hereby covenant and agree that each shall not make, at any time or place, any disparaging remarks, verbally or in writing, concerning any of the parties' actions or perceived omissions, regarding any matter connected with the "Exclusive Supplier Agreement " or otherwise take any action that would disparage or cast doubt upon the business acumen or judgment of any other party. Each party understands and acknowledges that each other party's business and reputation are of special, unique, and extraordinary character, which gives them a particular value, the loss of which cannot reasonably be compensated in damages in an action at law. Accordingly, each party further agrees that in addition to any other rights or remedies that any other party may possess at law, any aggrieved party shall be entitled to injunctive and other equitable relief in order to prevent or remedy a breach of the provisions of this Section 4. by any other party hereto.

Each party understands and acknowledges that each other party's business and reputation are of special, unique, and extraordinary character, which gives them a particular value, the loss of which cannot reasonably be compensated in damages in an action at law. Accordingly, each party further agrees that in addition to any other rights or remedies that any other party may possess at law, any aggrieved party shall be entitled to injunctive and other equitable relief in order to prevent or remedy a breach of the provisions of this Section 4. by any other party hereto.
Covenant of Non-Disparagement. Executive shall not make any oral or written statement (including via any Internet blog, social network or other media outlet) that disparages or reflects negatively upon the Company or its clients, including, without limitation, statements concerning work performance, business practices or personnel decisions, unless required by applicable law. Executive covenants never to harass or behave unprofessionally toward any past, present or future Company customer, employee, officer, manager or director.
Covenant of Non-Disparagement. (a) Zxxxxx covenants never to disparage or speak ill of Vitro or any Vitro product, service, or business undertaking or of any past or present employee, officer or director of Vitro, nor shall Zxxxxx at any time harass or behave unprofessionally toward any past, present or future Vitro employee, officer or director.
Covenant of Non-Disparagement. Each of the Parties covenants never to disparage or speak ill of the other or any of their products, services, affiliates, subsidiaries, officers, directors, employees or shareholders, and will take reasonable steps to prevent, and will not knowingly permit, any of their respective employees or agents from disparaging or speaking ill of such persons.
Covenant of Non-Disparagement. From the date hereof, and during any period of employment with the Company and at any time thereafter, Employee will not directly or indirectly, engage in any conduct or make any statement, whether in commercial or noncommercial speech, disparaging or criticizing in any way the Company, any subsidiary thereof, North Castle Partners, L.L.C. (“North Castle”), any affiliate of any of these, or any products or services offered by any of these, nor shall he engage in any other conduct or make any other statement that could be reasonably expected to impair the goodwill of the Company, any subsidiary thereof, North Castle, or any affiliate of any of these, the reputation of Company products or the marketing of Company products, in each case except to the extent required by law, and then only after consultation with North Castle to the extent possible.
Covenant of Non-Disparagement. (a) Xxxxxx covenants never to disparage or speak ill of InfoNow or any InfoNow product or service, or of any past or present officer or director of InfoNow, nor shall Xxxxxx at any time harass or behave unprofessionally toward any past or present InfoNow officer or director.

Accordingly, each party further agrees that in addition to any other rights or remedies that any other party may possess at law, any aggrieved party shall be entitled to injunctive and other equitable relief in order to prevent or remedy a breach of the provisions of this Section 6 by any other party hereto.
Covenant of Non-Disparagement. Each of the Company and the Consultant covenants never to disparage or speak ill of the other party or any of their products, services, affiliates, subsidiaries, officers, directors, employees or shareholders, and will take reasonable steps to prevent and will not knowingly permit any of their respective employees or agents to, disparage or speak ill of such persons. Notwithstanding the foregoing, the Consultant expressly assumes all risk associated with listing any past or present Company employee, consultant or agent, or the Company itself, as a reference in connection with the Consultants pursuit of future employment or engagement, and the Consultant agrees that any such person whom the Consultant lists as a reference shall in response to any request for a reference concerning the Consultant be permitted to provide complete, truthful and accurate information concerning the Consultant without creating any liability for himself or herself, the Company, any affiliated entity, or any employee, consultant, agent or representative of any of the foregoing.
Covenant of Non-Disparagement. Each party agrees not, directly or indirectly, to disparage or make, publish or broadcast negative statements of any type regarding the other, their past, present and future agents, attorneys, affiliates, associates, owners, officers, members, managers, employees, heirs, successors and assigns unless required by a court of law.
