Covenants Not to Solicit. The Employee covenants and agrees that, for and during the period of his employment with DataPath and for a period of two years thereafter:
(a) the Employee shall not, directly or indirectly, solicit for employment any individual who was employed by DataPath on the date of this Agreement or the date of termination of employment of the Employee, without the prior written consent of DataPath; and
(b) the Employee shall not, directly or indirectly, solicit, initiate contact with or call upon any Customer for the purpose of contracting with such Person for goods and services which are competitive or potentially competitive with any goods or services sold, provided or under development by DataPath during the period of two years immediately preceding the date of termination of employment of the Employee. "Customer" shall mean any actual or prospective customer sold to, marketed to, serviced by or dealt with by Employee on behalf of DataPath during the two year period immediately preceding the date of termination of employment of the Employee; and
Covenants Not to Solicit. In accordance with and subject to the covenants contained in the Employment Agreement, for a period of 18 months following the Separation Date, EMPLOYEE shall not, directly or indirectly, hire, offer to hire, entice away or in any other manner persuade or attempt to persuade any officer, employee, agent, lessor, lessee, licensor, licensee, customer, prospective customer, or supplier of THE COMPANY or any of its subsidiaries to discontinue or alter his/her or its relationship with THE COMPANY or any of its subsidiaries. This provision shall not apply if not otherwise provided under the terms of the Employment Agreement.
Covenants Not to Solicit. While employed by the Company and for a period of one year following the termination of such employment, I shall not, directly or indirectly, request, cause, solicit or induce any other employee of, or any consultant to, the Company to perform work or services for any person or entity other than the Company.

Covenants Not to Solicit. For the six (6) month-period immediately following the earlier of the termination of Finlxx'x xxxloyment hereunder or the date of expiration of this agreement, Finlxx, xxether as a proprietor, partner, employee, agent, consultant, director, officer, controlling stockholder or in any other capacity whatsoever, shall not, without the consent of FPC or of any of its subsidiaries, (a) solicit any Business Associate (as hereinafter defined) for the purpose of interfering with, disrupting or attempting to disrupt the relationship, contractual or otherwise between FPC and/or any of its subsidiaries and such Business Associate, or (b) request any Business Associate to cancel, curtail or divert his, her or its business with FPC and/or any of its subsidiaries. For purposes hereof, the term "Business Associate" means any person or entity that, to Finlxx'x xxxwledge, is, at the time of any such solicitation or request, a customer, client, or employee of FPC and/or any of its subsidiaries with whom Finlxx xxx any direct or indirect contact during his employment hereunder. However, notwithstanding the foregoing provisions of this Section 11, it is understood that Finlxx xxx, in good faith, contact all customers and clients of FPC and/or any of its subsidiaries originated by or otherwise brought to FPC and/or any of its subsidiaries by Finlxx xxxing the term of Finlxx'x xxxloyment by the Corporation in connection with establishing any other business enterprises subsequent to the expiration or termination of this agreement.
Covenants Not to Solicit. In accordance with and subject to the covenants contained in the Employment Agreement, for a period of eighteen (18) months following the date that EMPLOYEE’s service relationship with THE COMPANY terminates, including service as a member of the Board of Directors of THE COMPANY, directly or indirectly, hire, offer to hire, entice away or in any other manner persuade or attempt to persuade any officer, employee, agent, lessor, lessee, licensor, licensee, customer, prospective customer, or supplier of THE COMPANY or any of its subsidiaries to discontinue or alter his/her or its relationship with THE COMPANY or any of its subsidiaries. This provision shall not apply if not otherwise provided under the terms of the Employment Agreement.
Covenants Not to Solicit. During his employment under this Agreement and for a period of two (2) years following the termination of this Agreement for whatever reason, Xxxxxxxx agrees that, unless he obtains written approval in advance from the Board of Directors, he shall not in any way, directly or indirectly,
(a) contact, employ, solicit, hire or attempt to persuade any employee, agent or independent contractor of the Company or any of its affiliates, or any who served in such capacities within one (1) year of the termination of Xxxxxxxx’x employment, to terminate his, her or its relationship with the Company and/or its affiliates or do any act that may result in the impairment of the relationship between the Company or any of its affiliates on the one hand and the employees, agents or independent contractors of the Company or any of its affiliates on the other hand; or
(b) contact, solicit, engage, contract with, any customer or supplier of the Company or any of its affiliates or do any act that may result in the impairment of the relationship between the Company or any of its affiliates on the one hand and the customers and suppliers of the Company or any of its affiliates on the other hand.
Covenants Not to Solicit. The Employee agrees that during the term of his employment and for the Restricted Period after the termination of this Agreement for any reason, the Employee will not, directly or indirectly, (i) attempt to hire any employee of the Company or any affiliate or subsidiary, (ii) assist in such hiring by any other person, (iii) encourage any such employee to terminate his employment with the Company or any affiliate or subsidiary, (iv) encourage any customer or the Company or any affiliate or subsidiary to terminate its relationship with the Company or any affiliate or subsidiary, (v) encourage any supplier of the Company or any affiliate or subsidiary to terminate its relationship with the Company or any affiliate or subsidiary. For the purposes of Section 7, the “Restricted Period” is equivalent to the Required Notice Period.
Covenants Not to Solicit. In consideration of the promises and payments provided by Section 5(b) and (c) of this Agreement, the Executive agrees that, during his employment hereunder and for a period of twelve (12) months following the Date of Termination, he will not, other than on behalf of the Company, directly or indirectly, as a sole proprietor, agent, broker or intermediary, member of a partnership, or stockholder, investor, officer or director of a corporation, or as an employee, agent, associate or consultant of any person, firm or corporation:
(a) Solicit, encourage, induce to cease, refrain from or reduce doing business with the Company or any of its affiliates %3. any clients of the Company or its affiliates, %3. any prospective clients whose business the Company or any of its affiliates is in the process of soliciting at the time of the Executive's termination or %3. any former clients which had been doing business with the Company or its affiliates within one year prior to the Executive’s termination; or
(b) Solicit or hire any employee of the Company or its affiliates to terminate such employee's employment with the Company; provided that nothing contained in this Section 12 shall prohibit the Executive from owning 2.5% or less of the outstanding stock of any corporation listed on a national stock exchange or included in the NASDAQ Stock Markets, or from making investments in or from serving as an officer or employee of a firm or corporation which is not directly or indirectly engaged in the same type of business as the Company. The parties acknowledge and agree that the Executive’s breach or threatened breach of any of the restrictions set forth in Sections 10, 11 and 12 will result in irreparable and continuing damage to the Company for which there may be no adequate remedy at law and that the Company shall be entitled to equitable relief, including specific performance and injunctive relief as remedies for any breach or threatened or attempted breach. The Executive hereby consents to the grant of an injunction (temporary or otherwise) against the Executive or the entry of any other court order against the Executive prohibiting and enjoining him from violating, or directing him to comply with any provision of Sections 10, 11 and 12. The Executive also agrees that such remedies shall be in addition to any and all remedies, including damages, available to the Company against him for such breaches or threatened or attempted breaches. Covenants Not to Solicit. For the one (1) year period immediately following the Separation Date, the Executive shall not directly or indirectly:
a. solicit, for the purpose of selling, renting or leasing or attempting to sell, rent, or lease a “Restricted Product” (as defined below), any of the clients, customers or accounts, or prospective clients, customers or accounts of the Company that the Executive contacted, solicited, or served while he was employed with the Company or that the Executive knew had been contacted, solicited, or served by the Company while he was employed by the Company;
b. solicit, induce or attempt to induce any “Vendor” (as defined below) to terminate or diminish its relationship with the Company or to represent, distribute, or supply a Restricted Product to any person or entity (other than the Company) engaged in the business of selling, renting, or leasing Restricted Products in the United States; or,
c. solicit, recruit or hire any employee of the Company, or induce or attempt to induce any employee of the Company to end his/her employment with the Company or to otherwise cease his/her relationship with the Company.
