Custodian shall be obligated to act in good faith and exercise care, prudence and diligence to ensure the accuracy and completeness of all services performed under this Agreement and shall be liable to Principal for all damages, losses and expenses suffered or incurred by Principal resulting from the failure of Custodian to exercise such care and diligence. In the event of any loss, damage or expense suffered or incurred by Principal resulting from the actions or omissions of any Sub-Custodian or Depository for which Custodian would otherwise be liable, the Custodian shall promptly reimburse Principal in the amount of any such loss, damage or expense.
