Customer Subscription Commitment. As a material commitment upon which pricing and otherterms of the Agreement are based, Customer is obligated to pay (in accordance with Clause 7 (billing and payment)) all Service Fees, Regulatory Fees (if applicable), and Taxes related to Ordered SaaS Services for the entire Initial Term and any Renewal Term (the Customer’s “Subscription Commitment”), other than where Customer terminates this Agreement in accordance with Clause 13.1 or 8.3.6. If the Agreement or any Ordered SaaS Services are terminated, cancelled or Reduced for any other reason, Customer shall, on termination, immediately pay 8x8 an early termination charge equal to the monthly Service Fees and Taxes associated with the terminated Ordered SaaS Services, multiplied by the number of months thenremaining of the Initial Term or the Renewal Term, as the case may be. To avoid any doubt, Customer may Reduce any Ordered SaaS Services for the next Renewal Term by providing 8x8 written notice of such Reduction at least sixty (60) days prior to the commencement of such Renewal Term.

Customer Subscription Commitment. Customer shall pay all Service Fees, Regulatory Fees, Administrative Fees, and Taxes for the Ordered SaaS Services for the entirety of the initial Term identified in Customer’s first Order (or thirty-six (36) months if not so identified) (the “Initial Term”) and for each renewal Term (this obligation is Customer’s “Subscription Commitment”). THIS COMMITMENT IS A MATERIAL BASIS FOR PRICING AND OTHER TERMS OF THIS AGREEMENT. Customer may reduce the quantity of Ordered SaaS Services or downgrade them (e.g., to a lower-cost tier) (any such action, “Reduce” or a “Reduction”) for a renewal Term by giving 8x8 at least forty-five (45) days’ notice before the renewal Term begins.

  • Software Subscription The Term of any Software Subscription shall automatically renew for an additional Subscription License Term unless written notice of termination is given to the other Party three (3) months prior to the expiration of the then-current Term.

  • User Subscriptions Unless otherwise specified in the applicable Order Form, (i) Services are purchased as User subscriptions and may be accessed by no more than the specified number of Users, (ii) additional User subscriptions may be added during the subscription term at the same pricing as that for the pre-existing subscriptions, prorated for the remainder of the subscription term in effect at the time the additional User subscriptions are added, and (iii) the added User subscriptions shall terminate on the same date as the pre-existing subscriptions. User subscriptions are for designated Users and cannot be shared or used by more than one User but may be reassigned to new Users replacing former Users who no longer require ongoing use of the Services.

  • Subscription Service PROS warrants that during the Subscription Term, the Subscription Service will conform in all material respects to the functional specifications set forth in the Documentation. Customer's sole and exclusive remedy will be the deployment of a corrected version of the PROS software application that is the object of the Subscription Service, or provision of a workaround, provided however if PROS fails to provide such remedy after using commercially reasonable efforts, Customer may exercise its rights herein for breach of contract, including, but not limited to, termination pursuant to Section 10.2.

  • Subscription Services We grant You a right to use the Genesys Cloud Service in accordance with this Agreement and the applicable product descriptions found in the Services Order.

  • Term of Purchased Subscriptions The term of each subscription shall be as specified in the applicable Order Form. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any renewal term will increase by up to 7% above the applicable pricing in the prior term, unless Xxxxxx provides Customer notice of different pricing at least 60 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Xxxxxx’x applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in repricing at renewal without regard to the prior term’s per-unit pricing.
