Dati Personali. Obblighi del Responsabile del Trattamento. Dati Personali. Luogo del Trattamento dei Dati. Al fine di consentire a 3DS di prestare i Servizi Online, il Cliente incarica 3DS quale Responsabile del Trattamento e accetta che i Dati Personali forniti dal Cliente possano essere trasferiti, archiviati, consultati e Trattati in qualsiasi paese in cui 3DS o il suo Sub-Responsabile del Trattamento abbiano sede. 3DS garantirà che al proprio Sub-Responsabile del Trattamento siano imposti obblighi di protezione dei dati equivalenti a quelli stabiliti nel presente Contratto mediante un accordo scritto e/o le clausole contrattuali tipo della Commissione Europea, se applicabili, cosicché il Trattamento risponda ai requisiti della Normativa applicabile in materia di Protezione dei Dati.

Ciascuna Parte riconosce che, per il Trattamento dei recapiti professionali necessari per la gestione del presente Contratto, il Cliente e 3DS agiscono ciascuno in qualità di Titolari del Trattamento indipendenti in base alla propria informativa sulla privacy disponibile al pubblico. Il Cliente riconosce e accetta di essere e rimanere in ogni momento il Titolare del Trattamento dei Dati Personali che saranno trattati per suo conto nell’ambito dell’accesso e dell’utilizzo dei Servizi Online.

Subprocessor Any third party appointed to process Personal Data on behalf of the Supplier under this Call-Off Contract. Supplier The person, firm or company identified in the Order Form. Supplier Representative The representative appointed by the Supplier from time to time in relation to the Call-Off Contract. Supplier staff All persons employed by the Supplier together with the Supplier’s servants, agents, suppliers and subcontractors used in the performance of its obligations under this Call-Off Contract. Supplier terms The relevant G-Cloud Service terms and conditions as set out in the Terms and Conditions document supplied as part of the Supplier’s Application. Term The term of this Call-Off Contract as set out in the Order Form. Variation This has the meaning given to it in clause 32 (Variation process). Working Days Any day other than a Saturday, Sunday or public holiday in England and Wales. Year A contract year. Schedule 7: GDPR Information This schedule reproduces the annexes to the GDPR schedule contained within the Framework Agreement and incorporated into this Call-off Contract. Annex 1: Processing Personal Data This ▇▇▇▇▇ shall be completed by the Controller, who may take account of the view of the Processors, however the final decision as to the content of this Annex shall be with the Buyer at its absolute discretion.

  • No Personal Solicitation From and after each related Closing Date, the Servicer hereby agrees that it will not take any action or permit or cause any action to be taken by any of its agents or affiliates, or by any independent contractors or independent mortgage brokerage companies on the Servicer's behalf, to personally, by telephone or mail, solicit the Mortgagor under any Mortgage Loan for the purpose of refinancing such Mortgage Loan; provided, that the Servicer may solicit any Mortgagor for whom the Servicer has received a request for verification of mortgage, a request for demand for payoff, a mortgagor initiated written or verbal communication indicating a desire to prepay the related Mortgage Loan, or the mortgagor initiates a title search, provided further, it is understood and agreed that promotions undertaken by the Servicer or any of its affiliates which (i) concern optional insurance products or other additional projects or (ii) are directed to the general public at large, including, without limitation, mass mailings based on commercially acquired mailing lists, newspaper, radio and television advertisements shall not constitute solicitation under this Section 10.09 nor is the Servicer prohibited from responding to unsolicited requests or inquiries made by a Mortgagor or an agent of a Mortgagor. Notwithstanding the foregoing, the following solicitations, if undertaken by the Servicer or any affiliate of the Servicer, shall not be prohibited under this Section 10.09: (i) solicitations that are directed to the general public at large, including, without limitation, mass mailings based on commercially acquired mailing lists and newspaper, radio, television and other mass media advertisements; (ii) borrower messages included on, and statement inserts provided with, the monthly statements sent to Mortgagors; provided, however, that similar messages and inserts are sent to the borrowers of other mortgage loans serviced by the Servicer.

  • Title to Personal Property Each of the Company and its subsidiaries has good and marketable title to, or have valid and marketable rights to lease or otherwise use, all items of personal property owned or leased (as applicable) by them, in each case free and clear of all liens, encumbrances, claims and defects and imperfections of title except those that (i) do not materially interfere with the use made and proposed to be made of such property by the Company and its subsidiaries or (ii) could not reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect.
