Debits to Net Profits Account. Except as otherwise provided herein, the Net Profits Account has a beginning debit balance, as of the Effective Time, of four million, seven hundred thousand dollars ($4,700,000). This amount is comprised of the capital and operating expenditures of Buyer in the Clear Creek Unit prior to the Closing Date of the Purchase Agreement, plus the cost of the acquisition of one million dollars ($1,000,000). If it is determined that the capital and operating amount requires post-Closing adjustment, the Parties agree to adjust such amount as appropriate.
