Definition of "Compete. For the purposes of this Agreement, the term "compete" shall mean the providing of general management or supervisory services for the development or operation or franchising of restaurants that derive more than thirty percent (30%) of their food sales from steak products.
Definition of "Compete. WITH THE COMPANY. For the purposes of this Section 6, the term "Compete with the Company" means action by the Executive, direct or indirect, for his own account or for the account of others, either as an officer, director, stockholder, owner, partner, member, promoter, employee, consultant, advisor, agent, manager, creditor or in any other capacity, resulting in the Executive having any pecuniary interest, legal or equitable ownership, or other financial or non-financial interest in, or employment, association or affiliation with, any corporation, business trust, partnership, limited liability company, proprietorship or other business or professional enterprise that provides oncology services or management services to any oncology or hematology practice within a fifty mile radius of any location where the Company or any subsidiary or affiliate of the Company performs such services at the date of a termination of the Executive's employment; provided, however, that the term "Compete with the Company" shall not include ownership (without any more extensive relationship) of a less than a five percent (5%) interest in any publicly-held corporation or other business entity.
Definition of "Compete. For the purposes of this Section 5.9, the term "compete" shall mean with respect to the Business: (i) managing, supervising, or otherwise participating in a management or sales capacity; (ii) calling on, soliciting, taking away, accepting as a client or customer, or attempting to call on, solicit, take away, or accept as a client or customer, any individual partnership, corporation, company, association, or other entity that was a client or customer of the Company as of immediately prior to the date hereof; (iii) hiring, soliciting, taking away, or attempting to hire, solicit, or take away, either on Executive's behalf or on behalf of any other person or entity, any person serving immediately prior to the date hereof or during the term hereof as an employee in connection with the Business; or (iv) entering into or attempting to enter into any business substantially similar to the Business, either alone or with any individual, partnership, corporation, company, association, or other entity.

For purposes of this Agreement, the term “compete” shall mean (a) calling on, soliciting or taking away, as a client or customer any individual, partnership, corporation or association that was a client or customer of the Company during the 12-calendar month period immediately preceding any such act for the purpose of competing with the Company; (b) hiring, soliciting, taking away or attempting to hire, solicit or take away any employee of the Company either on behalf of himself or any other person or entity for the purpose of competing with the Company; or (c) for the period of this Agreement, entering into or attempting to enter into any business offering goods and services which are substantially similar to or competing in any way with the goods and services which are then being offered by the Company.

For purposes of this Article 11, the term "Competes" shall mean (a) calling on, soliciting or taking away, as a client or customer, any individual, partnership, corporation or association that is a client or customer of LD Services or was a client or customer of LD Services during the 12 calendar month period immediately preceding any such act for the purpose of competing with LD Services or IXC-LD; (b) hiring, soliciting, taking away or attempting to hire, solicit or take away any employee of LD Services or IXC-LD either on behalf of itself or any other person or entity; or (c) hiring, soliciting, taking away or attempting to hire, solicit or take away any independent sales representative that is engaged in the solicitation of customers on LD Services's behalf or was engaged in the solicitation of customers on LD Services's behalf during the 12 calendar month period immediately preceding any such act for the purpose of competing with LD Services or IXC-LD.

Definition of "Compete. For purposes of this Agreement, the term "compete" shall mean (a) calling on, soliciting or taking away, as a client or customer any individual, partnership, corporation or association that is a client or customer of DPRC, the Surviving Corporation or Computec, or was a client or customer of DPRC, the Surviving Corporation or Computec during the 36 calendar month period immediately preceding any such act for the purpose of competing with DPRC, the Surviving Corporation or Computec; (b) hiring, soliciting, taking away or attempting to hire, solicit or take away any employee of DPRC or the Surviving Corporation either on behalf of itself or any other person or entity; or (c) entering into or attempting to enter into any business substantially similar to or competing in any way with the Business within the Territory, either alone or with any individual, partnership, corporation or association.

For the purposes of this Agreement, the term "compete" shall mean with respect to the Business: (i) engaging in any manner in any activity or business which is substantially similar to the Business within the Territory unless such activity or business is a Non-Restricted Business (as defined in Section 6 below); (ii) calling on, soliciting, taking away, accepting as a client or customer or attempting to call on, solicit, take away or accept as a client or customer any individual, company, partnership, corporation or association that is or was a client or customer of the Company or any of the Purchasers at any time during the twelve (12) calendar month period immediately preceding any such act for purposes of providing any product or service which is substantially similar to the products or services provided in the operations of the Business unless such products or services are provided in terms of Non-Restricted Business (as defined in Section 6 below); or (iii) hiring, soliciting, taking away or attempting to hire, solicit or take away any employee of the Business or any of the Purchasers either on the Target Companies’ behalf or on behalf of any other person or entity for any purpose, provided however that nothing in this Section 2 shall prohibit the use of a general solicitation in a publication, through recruitment companies or by other means.

For purposes of this Agreement, with respect --------------------- to the Obligated Shareholders other than GALP, the term "compete" shall mean (a) calling on, soliciting or taking away, as a client or customer any individual, partnership, corporation or association that is a client or customer of Purchaser or Leardata or was a client or customer of Leardata during the 36 calendar month period immediately preceding any such act for the purpose of competing with Purchaser; (b) hiring, soliciting, taking away or attempting to hire, solicit or take away, either on behalf of itself or any other person or entity, any person who is an employee or technical consultant of Leardata or Purchaser, or was an employee or technical consultant of Leardata during the 12 calendar month period immediately preceding any such act; or (c) entering into or attempting to enter into any business substantially similar to or competing in any way with the Business within the Territory, either alone or with any individual, partnership, corporation or association. With respect to GALP, the term "compete" shall mean hiring, soliciting, taking away or attempting to hire, solicit or take away, either on behalf of itself, its Affiliates or any other person or entity, any person who is an employee or technical consultant of Leardata or Purchaser, or was an employee or technical consultant of Leardata during the 12 calendar month period immediately preceding any such act for the purpose of competing with Purchaser.
Definition of "Compete. For purposes of this Agreement, the term "Compete" shall mean (a) acting as an agent, representative, consultant, officer, director, independent contractor or employee of any entity or enterprise, which directly competes with the business of Talarian; (b) participating in any such directly competing entity or enterprise, or the affiliate of such entity or enterprise, as a holder of an equity interest or as an owner, partner, limited partner, joint venturer, creditor or shareholder; or (c) communicating to any such directly competing entity or enterprise the names or addresses or any other information concerning any past, present or identified prospective client or customer of Talarian.
