DELAY RENTAL. To pay Lessor as Delay Rental, after the first year, at the rate of five dollars ($5.00) per net acre per year payable in advance. The parties hereto agree that this is a Paid-Up Lease with no further Delay Rental and/or Delay in Marketing payments due to Lessor during the primary term hereof.

If for any reason during the primary term of this lease, the Ballast Sales Agreement executed February 1, 2013, by LESSEE and Union Pacific Railroad Company, terminates or is not renewed and there are no other sales of leased minerals, upon satisfactory evidence of the termination or failure to renew said agreement, or absence of other sales, presented to the COMMISSIONER, LESSEE shall pay as the next ensuing rental a sum of Fifteen Thousand and no/100 Dollars ($15,000.00). This rental replaces the regularly scheduled rental as set out above; however, the rental due on or before the second anniversary of this lease after the termination or failure to renew said agreement, shall be the regularly scheduled rental as set out above. LESSEE is expressly placed on notice of the National Historical Preservation Act of 1966, (PB-89-66, 80 Statute 915; 16 U.S.C.A. §470) and the Antiquities Code of Texas, Chapter 191, Tex. Nat. Res. Code ▇▇▇. (▇▇▇▇▇▇ 1996 Supp.). Before breaking ground at a project location, lessee shall notify the Texas Historical Commission, P.O. ▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇. An archaeological survey might be required by the commission before construction of the project can commence. Further, in the event that any site, object, location, artifact or other feature of archaeological, scientific, educational, cultural or historic interest is encountered during the activities authorized by this lease, lessee will immediately notify lessor and the Texas Historical Commission so that adequate measures may be undertaken to protect or recover such discoveries or findings, as appropriate.
DELAY RENTAL. In the event that Lessee fails after the first year or subsequent years of the Lease to drill a well on the Leased Premises or property pooled with the Leased Premises, Lessee shall pay a non-refundable Delay Rental at the rate of ten (10) percent of the initial signing bonus and increasing ten (10) percent per acre or portion of an acre per year thereafter until drilling has commenced. Payment will be made by Lessee within thirty (30) days of the one year anniversary or subsequent year anniversaries of this Lease. If no well is drilled on the Leased Premises or property pooled with the Leased Premises within five years of the execution of the Lease by Lessor, the Lease will automatically expire and Lessee will take the steps set forth in Paragraph 6 above, which are incorporated herein as if fully rewritten, to transfer the oil, gas, condensate and/or liquid hydrocarbon rights to Lessor and to vacate the Leased Premises. Lessor reserves the right to seek any and all remedies set forth in Paragraph 6 and any other legal remedy if the Lease is terminated under this paragraph.

Delay Rental paid for time beyond the commencement date of Royalty payment shall be credited upon the Royalty payment. Upon conversion to Storage, Delay Rental payment shall be reestablished.
