Deliveries by Newco. At the Closing, NewCo shall deliver the following items, duly executed by NewCo as applicable:

Simultaneous with the execution and delivery of this Agreement, Newco shall execute a certificate by the of Newco certifying that Stock certificates representing ownership of Newco Shares registered in the names of the Principals shall be issued and that Newco=s transfer agent shall be properly notified of such ownership."

Deliveries by Newco. Subject to the terms and conditions hereof, at the Closing, Newco will deliver the following to Cendant:
