Delivery of Release. Within ten (10) working days after termination of Employee’s employment, and as a condition for receipt of payments set forth in Section 3.3(b)(i)(B) and (C), 3(b)(iii), and 4.1(a), the Company shall provide to Employee, or Employee’s legal representative, a form of written release, which form shall be satisfactory to the Company and generally consistent with the form of release used by the Company prior to such termination of employment (the “Release”) and which shall provide a full release of all claims against the Company and its corporate affiliates, except where Employee has been named as a defendant in a legal action arising out of the performance of Employee’s responsibilities in which case the Release will exempt any claims which Employee or his or her legal representative or estate may have for indemnity by the Company with respect to any such legal action. As a condition to the obligation of the Company to make the payments provided for in such Sections Employee, or Employee’s legal representative, shall execute and deliver the Release to the Company within the time periods provided for in said release.
Delivery of Release. Notwithstanding anything to the contrary in this Section 7, in the event that any severance payments or benefits are subject to Employee’s execution and delivery of an effective Release, such Release must be delivered to the Company within sixty (60) days following the date of Employee’s termination of employment.
Delivery of Release. As a condition to the obligation of the ------------------- Company to make the payments provided for in this Agreement and otherwise perform its obligations hereunder to you upon termination of your employment (other than due to your death), you or your legal representatives must deliver to the Company a general unconditional release in favor of the Company in form and substance satisfactory to the Company, and the time for revocation of such release must have expired without revocation by you. You are not obligated to seek other employment or take any other action by way of mitigation of the amounts payable to you under any of the provisions of this Agreement.

Within thirty (30) days after ------------------- termination of Executive's employment (other than due to death of Executive) in anticipation of, on or after the occurrence of a Change in Control, the Company shall provide to Executive, or Executive's legal representative, a form of written release, which form shall be reasonably satisfactory to the Company and generally consistent with the form of release used by the Company prior to the earlier of (a) such termination of employment, if the Company has terminated Executive's employment in anticipation of a Change of Control, or (b) the occurrence of the Change in Control. As a condition to the obligation of the Company to make the payments provided for in this Agreement and otherwise perform its obligations hereunder to Executive upon termination of Executive's employment (other than due to death of Executive) Executive, or Executive's legal representative, shall deliver to the Company a written release, substantially in the form described above and provided to Executive by the Company within such thirty (30) day period, releasing the Company and its affiliates from any and all liability related to Executive's employment or the termination thereof, other than liabilities arising under this Agreement.
Delivery of Release. At the closing of the initial public offering of Monterey, Monterey shall execute and deliver to Santa Fe a release (in a form acceptable to Santa Fe) that releases any and all rights Monterey may have to seek contribution or reimbursement for amounts borrowed by Santa Fe under the $75 million Credit Facility between Santa Fe and Monterey, as borrowers, and The Chase Manhattan Bank, as agent for the lenders that are parties to the Credit Facility.
